Party B China Construction Port and Shipping Bureau City Construction Co., Ltd. is a secondary branch of China Construction Port Bureau Group Co., Ltd., which was established in 1981 with a registered capital of 133333 million yuanChina State Construction Group, a member of China State Construction Group, located in Shanghai, is an enterprise mainly engaged in civil engineering and construction. 为贯彻落实国家双碳战略，助力地方能源结构调整和社会经济发展，深化双方务实合作，结合国家法律法规及有关政策，双方本着“真诚合作、优势互补、互利共赢、共同发展”的原则，经友好协商，同意将对方作为紧密的合作伙伴，建立战略合作关系，并达成如下合作意向：
In order to implement the national dual-carbon strategy, help the adjustment of local energy structure and social and economic development, deepen the pragmatic cooperation between the two sides, and combine national laws and regulations and relevant policies, the two sides agreed to establish a strategic cooperative relationship with each other as close partners through friendly consultation, and reached the following cooperation intentions:
一、合作内容及模式
First, the content and mode of cooperation
1.双方致力于共同推进 （项目名称、区域） 的开发和建设，发挥甲方 （行业或区域）的投资和管理优势，依托乙方的资源优势，秉承“优势互补、资源同享、共赢发展”的原则，建立全面战略合作关系，开展全方位的技术与商业合作。
1. The two parties are committed to jointly promoting the development and construction of (project name and region), giving full play to the investment and management advantages of Party A (industry or region), relying on Party B's resource advantages, adhering to the principle of "complementary advantages, resource sharing, and win-win development", establishing a comprehensive strategic cooperative relationship and carrying out all-round technical and commercial cooperation.
2.乙方发挥协调地方施工资源优势，利用甲方的平台优势共同推进 项目的开发和建设，在符合甲方投资收益测算及其他要求的前提下，甲方负责项目的投资、建设和运营。
2. Party B gives full play to the advantages of coordinating local construction resources, uses Party A's platform advantages to jointly promote the development and construction of the project, and Party A is responsible for the investment, construction and operation of the project under the premise of meeting the investment income calculation and other requirements of Party A.
3.项目落地或当地备案相关手续后甲方作为项目投资主体，在不违反所在区域国家法律及国家采购管理进的原则下，甲方同意同等条件下优先选择乙方或乙方推荐的第三方承接其公司资质所涉范围业务，但该单位的资质业绩等须满足行业和国家行业相关要求。
3. After the project is landed or the relevant procedures for local filing, Party A, as the main investor of the project, agrees to give priority to Party B or a third party recommended by Party B to undertake the business within the scope of its company qualification under the same conditions, provided that the qualification performance of the unit must meet the relevant requirements of the industry and the national industry.
4.具体项目的合作事项，以双方（含双方下属公司/关联公司）签署的具体项目的正式协议或合同为准。
4. The cooperation matters of specific projects shall be subject to the formal agreement or contract signed by both parties (including the subsidiaries/affiliates of both parties).
二、双方权利义务
2. Rights and obligations of both parties
1.双方将在本协议签订后组建工作组，积极、高效推进项目的开发、建设工作。在合理时间与阶段内，如任何一方工作延迟、滞后或有其它不利于合作之表现，另一方有权终止合作，无需因此承担任何责任。
1. The two parties will set up a working group after the signing of this agreement to actively and efficiently promote the development and construction of the project. Within a reasonable period of time and period, if either party delays, lags behind or has other manifestations that are not conducive to cooperation, the other party has the right to terminate the cooperation without any liability.
2.乙方负责协调甲方与当地政府签署项目开发协议，协调办理合作项目的用地、规划、环评、文物、军事、生态红线、林业、水保、接入等前期手续，协助项目审批等手续。
2. Party B is responsible for coordinating the signing of the project development agreement between Party A and the local government, coordinating the preliminary procedures for land use, planning, environmental assessment, cultural relics, military, ecological red line, forestry, water protection, access and other procedures for the cooperation project, and assisting in the project approval and other procedures.
三、保密和知识产权
3. Confidentiality and Intellectual Property Rights
1、双方同意，对于本协议及本协议项下形成或取得的所有信息、数据、结论及文件资料，双方应承担保密义务，任何一方不得泄露给任何其他方。为执行本协议，任何一方提供给另一方的所有信息、数据、结论及文件资料，应归提供方所有，未经提供方事先书面许可，另一方不得用于执行本项目以外的任何目的。
1. Both parties agree that both parties shall undertake the obligation of confidentiality for this Agreement and all information, data, conclusions and documents formed or obtained under this Agreement, and neither party shall disclose them to any other party. For the purpose of executing this Agreement, all information, data, conclusions and documents provided by either party to the other party shall belong to the Provider and shall not be used by the other Party for any purpose other than the execution of the Project without the prior written permission of the Provider.
2、双方承诺在本协议有效期内以及协议届满或终止后，对所获悉的对方信息应予以保密，未经对方书面同意，除为实现本协议目的，任何一方不得以任何形式、通过任何介质，储存、传送或以其他任何形式复制对方信息，或将对方信息披露给协议双方之外的任何其他方，但为本协议审阅之目的，披露给法律顾问的情形除外。
2. Both parties promise that during the validity period of this agreement and after the expiration or termination of the agreement, the information of the other party shall be kept confidential, and without the written consent of the other party, except for the purpose of this agreement, neither party shall store, transmit or copy the information of the other party in any form or through any medium, or disclose the information of the other party to any other party other than the two parties to the agreement, but on this basisExcept for the purpose of reviewing the agreement, disclosure to legal counsel.
3、保密义务不仅及于本协议双方，也包括各自的关联公司、雇员、代理、代表和/或顾问（协议另有约定除外）；双方同意，各方雇员、代理、顾问、代表为履行本协议所做出的行为应视作该方行为，由该方承担法律责任。
3. The confidentiality obligation shall not only apply to the parties to this Agreement, but also to their respective affiliates, employees, agents, representatives and/or consultants (unless otherwise agreed in the Agreement); The parties agree that the acts of the employees, agents, consultants and representatives of each party in the performance of this Agreement shall be deemed to be the acts of such parties, and such parties shall bear legal liability.
4、本协议任何一方在任何活动中不得使用其他方的名称、商标或名义。
4. Neither party to this Agreement shall use the name, trademark or name of the other party in any activity.
四、违约责任
4. Liability for breach of contract
甲乙双方任何一方未履行本协议有关条款并给任何一方造成损失的，应由违约方承担赔偿责任，但本协议约定不承担责任的除外。
If either Party A or Party B fails to perform the relevant terms of this Agreement and causes losses to either party, the breaching party shall be liable for compensation, except for those who are not liable as stipulated in this Agreement.
五、争议解决
5. Dispute Resolution
1.如果因本协议的履行或实施或其他有关原因发生争议，各方首先应该通过友好协商的方式解决纠纷。
1. In the event of a dispute arising from the performance or implementation of this Agreement or other related reasons, the parties shall first resolve the dispute through friendly negotiation.
2.如果纠纷经协商仍未能得到解决，任何一方均可向项目所在地仲裁委员会申请仲裁解决。
2. If the dispute cannot be resolved through negotiation, either party may apply to the arbitration commission where the project is located for arbitration.
六、其他
6. Miscellaneous
1.本协议未尽事宜，由双方协商一致后，另行签署补充协议约定。
1. For matters not covered in this agreement, both parties shall sign a supplementary agreement after reaching a consensus through consultation.
2.本协议签署一式肆份，甲乙双方各执贰份，具有同等法律效力。
2. This Agreement shall be signed in duplicate, and Party A and Party B shall each execute two copies, which shall have the same legal effect.
