THIS AGREEMENT (“Agreement”) is made and enter into as of the 20th day of January, 2025 (“Effective Date”), by and between TBB RENEWABLE (XIAMEN) CO., LTD., a corporation, incorporated under the laws of China, with RC number 91350205MA80AJ33N and with its principal office at Room 301, No.15 Shishan North Road, Dongfu street, Haicang District, Xiamen China (hereinafter referred to as “TBB”) which expressions shall where the context admits include its successors-in-title and assigns of the one part, and ENGIE Mobisol GmbH (“EEA”), with an address of Revaler Straße 28 - 31, 10245 Berlin, Germany (hereinafter referred to as “EEA”) which expressions shall where the context admits include its successors-in-title and assigns of the one part (TBB and EEA are hereinafter referred to as “Parties”, and individually as the “Party”.).
本协议（“协议”）于 202 5 年 1 月 20 日（“生效日期”）由 TBB RENEWABLE （XIAMEN） CO.， LTD. 签订，TBB RENEWABLE （XIAMEN） CO.， LTD.是一家根据中国法律注册成立的公司，RC 编号为 91350205MA80AJ33N，其总部位于东福市狮山北路 15 号 301 室 中国厦门市海沧区街道（以下简称“TBB”），其表述在上下文允许的情况下应包括其所有权继承人和一方的受让人，以及 ENGIE Mobisol GmbH（“EEA”），地址为 RevalerStraße 28 - 31， 10245 Berlin， Germany（以下简称”EEA“），在上下文允许的情况下，该表述应包括其所有权继承人和一部分的受让人（TBB 和 EEA 以下称为”双方“，单独称为”一方”）。

WHEREAS, Customer designs, develops, markets, and distributes micro-utility products for emerging markets.

WHEREAS, Supplier is a world class provider of design, manufacturing, and related services of micro-utility products.

WHEREAS, Customer desires to engage Supplier to manufacture Customer’s Products and may wish to engage Supplier to provide design and other services providing that Supplier is willing to provide such services, all on the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the Parties agree as follows:

DEFINITIONS

In addition to the capitalized terms set forth in the preamble above, the capitalized terms used herein shall have the definitions assigned to them in this Section 1, and shall include the singular as well as plural:

“Business Day” means a day other than a Saturday, Sunday, or public holiday.

“Confidential Information” means any and all information that is disclosed by the Disclosing Party to the Receiving Party under this Agreement, that is:

maked “Confidential” or “Proprietary”, or with a word or words of similar meaning at the time of disclosure in writing, in magnetic or other tangible form; or

designated as confidential at the time of disclosure thereof and summarized in writing within a reasonable time after such disclosure if disclosed orally or in intangible form; provided, however, that Confidential Information shall not include any information that the Receiving Party can substantiate:

is now available or becomes available to the public without breach of this Agreement;

is lawfully obtained from a third party that has right to make disclosure; or

is explicitly approved for release by written authorization of the Disclosing Party.

“Disclosing Party” means the Party disclosing its Confidential Information of the other Party.

“Equipment” means TBB’s Lithium Battery Energy Storage System (including accessory components) and other systems that TBB may manufacture to comply with JET Certification.
“设备”是指 TBB的锂电池储能系统（包括附件）和 TBB 为符合 JET 认证而可能制造的其他系统。
“Marks” means all trademarks, and service marks, whether or not registered, and all trade names and trade dress, that a Party may use to identify itself as the source of specific goods or services.

“Receiving Party” means the Party receiving the Confidential Information of the other Party

“Purchase Order” means the EEA’s standard purchase order, issued pursuant to this Agreement, for the Equipment according to applicable Price.

INTERPRETATION
解释
A reference to a statute or statutory provision is a reference to it as amended, extended, or re-enacted from time to time. A reference to a statute or statutory provision includes all subordinate legislation made under that statute or statutory provision.
对法规或法定条款的引用是指不时修订、扩展或重新颁布的法规或法定条款。对法规或法定条款的引用包括根据该法规或法定条款制定的所有附属立法。
Any phrase introduced by the terms including, include, or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
术语 including （包括）、Include （包括） 或任何类似表达所引入的任何短语均应解释为说明性短语，并且不应限制这些术语之前的词语、描述、定义、短语或术语的含义。
A reference to writing or writing includes e-mails.

SCOPE OF AGREEMENT

During the term of this Agreement, TBB shall provide EEA with sufficient product literature and training to facilitate effective sales of all Equipment. In the event of on-site technical support in the Territory (if necessary), TBB will send its engineers to support on-site

EEA shall be solely responsible for its own business operations and shall assume all related tax obligations and legal liabilities.

During the 3 years Period, TBB shall not:

give lower price to other EEA competitor in Africa market

Other demands on the manufacture and the sales of the Equipment will be discussed by both Parties case by case.

TERMS OF PURCHASE EQUIPMENT
购买设备条款
During the Period, EEA may issue Purchase Orders for Delivery of Equipment according to EEA’s demand

No later than two (2) Business Days after receipt of a Purchase Order, TBB will notify to EEA of the acceptance or rejection of such Purchase Order.

The Acceptance Date of Purchase Order shall be the date of notification of acceptance by TBB of such Purchase Order. Each individual agreement of sale and purchase of the Equipment between TBB and EEA (hereinafter referred to the "Individual Agreement") shall be deemed to have been executed under the terms and conditions of the Purchase Order and this Agreement, upon the acceptance by TBB of such Purchase Order, provided that, in the event that any conflict arises between the terms and conditions of this Agreement and those of the Purchase Order, those of Purchase Order shall prevail.
采购订单的接受日期应为 TBB 通知接受此类采购订单的日期。TBB 与 EEA 之间的每份设备买卖单独协议 （以下简称“单独协议”）应被视为已根据采购订单和本协议的条款和条件签署，但前提是，如果本协议的条款和条件与采购订单的条款和条件之间存在任何冲突， 以采购订单为准。
Exclusivity

TBB will give best price for All in one solar solution products, other SBS products and new requirements from EEA

EEA will not looking for other supplier on SBS demands to make sure TBB as only supplier in 3 years.

CONFIDENTIALITY

The Receiving Party undertakes that it shall not at any time disclose to any person any Confidential Information of the Disclosing Party

Notwithstanding Clause 7.1, the Receiving Party may disclose the Disclosing Party’s Confidential Information:

to the Receiving Party’s employees, officers, Representatives, contractors, subcontractors, or advisers who need to know such Confidential Information for the purposes of exercising the Receiving Party’s rights, or carrying out its obligations under or in connection with this Agreement, provided that the Receiving Party shall ensure that its employees, officers, Representatives, contractors, subcontractors, or advisers whom it discloses the Disclosing Party’s Confidential Information comply with this Clause and shall be held accountable to the Disclosing Party for any breaches of confidentiality; and

as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

The Receiving Party shall not use any of the Disclosing Party’s Confidential Information for any purpose other than to exercise its rights and perform its obligations under or in connection with this Agreement.
接收方不得 将披露方的任何机密信息用于除行使其在本协议项下或与本协议相关的权利和履行其义务以外的任何目的。
WARRANTY OF EQUIPMENT
设备保修
TBB warrants to EEA that the Equipment is free from defects of workmanship and materials, and all liens, charges, encumbrances and any other restrictions that interfere with the exercise of EEA’s rights under this Agreement.
TBB 向 EEA 保证，设备不存在工艺和材料缺陷，以及所有干扰 EEA 在本协议下行使权利的留置权、费用、产权负担和任何其他限制。
During the Warranty Period, TBB undertakes to replace any Equipment that is found to be defective within the Warranty Period. In the event that the Equipment is replaced, the warranty for the Equipment will continue for the remaining duration of the original Warranty Period.
在 Warranty Period 期间，TBB 承诺更换在保修 P期限内发现有缺陷的任何设备。如果更换设备，设备的保修将在原始 Warranty Period 的剩余期限内继续有效。
Other terms and conditions of warranty (including the Warranty Period, the eligible warranty, the warranty coverage, the warranty extension, the warranty service, and the warranty procedure, but not limited to.) will be determined on each Party’s negotiation.
其他保修条款和条件（包括保修期、符合条件的保修、保修范围、保修延期、保修服务和保修程序，但不限于）将由 各方协商确定。
TERM AND TERMINATION
期限和终止
The term of this Agreement shall commence as of the date hereof and shall continue until three (3) years have passed from the time of agreement’s effective date, unless earlier terminated pursuant to this Section 11
本协议的期限应自 本协议生效之日起开始，并应持续到自协议生效之日起三 （3） 年，除非根据本第 1 1 条提前终止 .
Either Party may suspend performance and/or terminate this Agreement and any Individual Agreements immediately upon written notice to the other Party at any time if the other Party is in material breach of this Agreement or the Individual Agreement and fails to cure that breach within thirty (30) days after written thereof.
如果另一方严重违反本协议或个别协议，且未能在书面违约后三十 （30） 天内纠正违约行为，则另一方可随时在书面通知另一方后立即暂停履行和/或终止本协议及任何个别协议。
GENERAL

Any notice or other communication given to by one Party to the other Party under or in connection with this Agreement shall be in writing and shall be:

delivered by hand or by pre-paid first-class post or other next working day delivery service at its registered office; or

12.2. Any notice or other communication shall be deemed to have been received:

if delivered by hand, at the time the notice is left at the proper address

if sent by pre-paid first-class post or other next working day delivery service, at 9.00 am on the second Business Day after posting; or

if sent by e-mail, at the time of transmission, or if this time falls outside business hours in the place of receipt, when Business Hours resume.

12.3. The Clauses 12.1 and 12.2 do not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution.
12.3.第 1 条第 2.1 款和第 1条第 2.2 款不适用于任何法律诉讼中任何程序或其他文件的送达，也不适用于任何仲裁或其他争议解决方法（如适用）。
12.4. This Agreement shall be binding upon and insure to the benefit of each Party’s successors and lawful assigns; however, neither Party may assign this Agreement, in whole or in part, without the prior written approval of the other Party, which approval shall not be unreasonably withheld or delayed.
12.4.本协议对各方的继承人和合法受让人具有约束力，并符合其利益;但是，未经另一方事先书面批准，任何一方均不得全部或部分转让本协议，不得无理拒绝或延迟批准。
12.5. This Agreement does not authorize either Party to serve as the legal representative or agent of the other Party. Neither Party will have any right or authority to assume, create or incur any liability or any obligation of any kind, express or implied, against or in the name of or on behalf of the other Party.
12.5.本协议不授权任何一方担任另一方的法定代表人或代理人。任何一方均无权或无权针对另一方或以另一方的名义或代表另一方承担、产生或承担任何明示或暗示的责任或任何形式的义务。
12.7. Neither Party shall be liable for any delay or failure to perform its obligations except for its obligation to pay money when due, due to any cause beyond its reasonable control, including, but not limited to, acts of God, war, warlike conditions, riot, embargoes, acts of civil or military authorities, fire, flood, accidents, strikes, fuel or energy crises.
12.7.对于因超出其合理控制范围的任何原因（包括但不限于天灾、战争、战争条件、骚乱、禁运、民事或军事当局的行为、火灾、洪水、事故、罢工、燃料或能源危机）而造成的任何延迟或未能履行其义务，任何一方均不承担任何责任。
This Agreement is made in 2 copies and shall become effective upon the signature or seal of the Representatives of both Parties.
本协议一式两份，经双方代表签字或盖章后生效。
IN WITNESS WHEREOF, TBB and EEA have caused this Agreement as of the Effective Date.
为此，TBB 和 EEA 自生效日期起促成了本协议。
