A. Luo, Zheng and MBW are obliged to pay FCC with respect to certain monies borrowed from FCC (the “Loans”) on the terms agreed to between FCC, Luo, Zheng and MBW and as set out in the following loan and credit agreements, together with any and all replacements and amendments thereto (together, the “Loan Agreement”):

NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the provisions, covenants and agreements set forth herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by each of the parties hereto, the parties hereto covenant and agree as follows:

a) Luo, Zheng and MBW acknowledge and agree that pursuant to the Loan Agreement they are liable to FCC under the Loans as at February 20, 2025 for the sum of $\mathrm{\$}1,216,939.52$$\mathrm{\$}1,216,939.52$$1,216,939.52\$ 1,216,939.52, plus interest thereafter, which continues to accrue at the rate set out in the Loan Agreement, and protective disbursements and costs of collection (collectively, the “Indebtedness”).

(b) Luo, Zheng and MBW confirm that the Security is valid and enforceable and constitutes security for all of the amounts owing by Luo, Zheng and MBW to FCC and, in particular, the Indebtedness, and that the Security shall remain in full force and effect for the benefit of FCC following the execution of this Forbearance Agreement.

a) Luo, Zheng and MBW jointly and severally covenant and agree as follows:

(i) that all of the recitals to this Forbearance Agreement are true;

(ii) that this Forbearance Agreement will be in force until December 31, 2025, unless it is terminated earlier or extended in writing by the parties, provided that FCC will be under no obligation to extend the term of this Forbearance Agreement;

(iii) to comply with all of the terms of this Forbearance Agreement;

(v) to bring and keep current all priority claims (including but not limited to: property taxes, payroll deductions, sales taxes, customs and excise taxes, wages, vacation and severance claims, worker’s compensation board payments and monies owing to landlords) during the term of this Forbearance Agreement;

(viii) to take all steps reasonable, without causing a default under this Forbearance Agreement, to prevent any creditor of Luo, Zheng and MBW from obtaining a Judgment or from commencing any execution proceedings against Luo, Zheng and MBW or any of their real or personal property;

(x) to reimburse FCC for all professional fees and expenses incurred by FCC to date and to pay all additional professional fees and expenses incurred by FCC for legal or other professional services, including payment of the fees which FCC incurs as a result of the preparation or implementation of this Forbearance Agreement or the realization upon all or part of the Loan Agreement and/or the Security and which will be added to fees past due under the Loans;

(xiii) to consent to the granting of a one (1) day redemption in the event FCC elects to enforce its remedies under the Security in accordance with paragraph 5 (b) below.

b) Luo, Zheng and MBW acknowledge and agree that the payments made pursuant to this Agreement hereof may be allocated and applied to the Indebtedness in such manner as FCC deems fit in its sole and absolute discretion.

c) Luo, Zheng and MBW jointly and severally covenant and agree that they will not, without the prior written consent of FCC, which consent may be withheld by FCC without regard as to whether withholding consent is reasonable:

(ii) transfer, assign, convey, mortgage, charge or otherwise dispose of any real property or interest in real or personal property other than in the ordinary course of business.

a) Luo, Zheng and MBW acknowledge and agree that:

(i) absent the terms of this Forbearance Agreement, FCC is entitled to collect immediately the Indebtedness and to enforce the Loan Agreement and the Security;

(ii) FCC has entered into this Forbearance Agreement at the request of Luo, Zheng and MBW;

(iii) Luo, Zheng and MBW and each of them have no claims or causes of action against FCC of any kind and, if any claims or causes of action exist or arise, Luo, Zheng and MBW and each of them hereby release FCC from any and all claims or causes of action; and
（iii） Luo、Zheng 和 MBW 及其各自均不对 FCC 提出任何形式的索赔或诉因，如果存在或产生任何索赔或诉因，Luo、Zheng 和 MBW 及其各自特此免除 FCC 的任何和所有索赔或诉因;和
(iv) Luo, Zheng and MBW and each of them acknowledge that FCC has entered into this Forbearance Agreement based upon the release of FCC and the representations made herein that Luo, Zheng and MBW and each of them have no claims or causes of action against FCC and no defences to the right of FCC to enforce the Loan Agreement and Security in accordance with the laws of British Columbia.

a) During the term of this Forbearance Agreement, and provided Luo, Zheng and MBW are not in default hereunder, FCC will forbear from realizing on the Loan Agreement and the Security except as provided for herein.

b) Provided Luo, Zheng and MBW are not in default hereunder on December 31, 2025, FCC will consider further extending this Agreement on terms and conditions it considers appropriate at that time but FCC will be under no obligation to extend the term of this Agreement.

a) It shall be an event of default (an “Event of Default”) under this Forbearance Agreement if, at any time after its execution:

(i) Luo, Zheng and MBW fail to duly perform or observe any term, covenant or obligation contained in the Loan Agreement and the Security or this Forbearance Agreement;

(ii) without limiting the generality of the foregoing, Luo, Zheng and MBW fail to meet the payment obligations set out in this Forbearance Agreement;

(iii) any encumbrancer or creditor of Luo, Zheng and MBW takes possession of, or takes steps to realize upon any property or asset of Luo, Zheng and MBW, including a distress, execution, lien, forfeiture or any similar process levied or enforced there against and if such proceedings or steps remain unsatisfied for the shorter of a period of seven (7) days or such period as would permit such property or part thereof to be sold or forfeited thereunder unless such proceeding or step is removed, dismissed, stayed or withdrawn within such period or such proceedings are in good faith disputed by Luo, Zheng and MBW and while such proceeding is disputed by Luo, Zheng and MBW any such proceeding or step is stayed or otherwise held in abeyance;
（iii） Luo， Zheng 和 MBW 的任何产权负担人或债权人占有或采取措施变现 Luo， Zheng 和 MBW 的任何财产或资产，包括对其征收或强制执行的扣押、执行、留置权、没收或任何类似程序，并且如果此类程序或步骤在七 （7） 天或允许出售此类财产或其部分的期限内（以较短者为准）仍未得到满足或根据本协议被没收，除非在该期限内取消、驳回、中止或撤回此类程序或步骤，或者 Luo、Zheng 和 MBW 善意地对此类程序提出争议，并且当 Luo、Zheng 和 MBW 对此类程序提出争议时，任何此类程序或步骤被中止或以其他方式暂停;
(iv) Luo, Zheng and MBW, without the prior written consent of FCC:

a. institute proceedings for Luo, Zheng and MBW’s bankruptcy, winding-up, liquidation or dissolution or consent to the institution or filing of any petition or proceeding with respect thereto;

b. file a petition or commence a proceeding or action seeking reorganization, re-adjustment, rearrangement, restructuring, composition or similar relief under any Canadian or other applicable law or consent to the filing of any such petition or to the appointment of a Receiver, Receiver-manager, liquidator, trustee or similar officer of themselves or of any of their property;

(v) the failure to meet any of the following terms:

a. Luo, Zheng and MBW fail to make any payments pursuant to this Agreement hereof as and when required;

b. Luo, Zheng and MBW fail to make any other payments required hereunder or under the Loan Agreement as and when required; and

c. Luo, Zheng and MBW fail to comply with the terms set out in 2. (a), 2. (b) and 2. © of this Forbearance Agreement.

b) Upon the occurrence of an Event of Default, FCC may at its option pursue any remedies as it deems appropriate, including, without limiting the generality of the foregoing, termination of this Forbearance Agreement and realize on the Security.

c) Notwithstanding Paragraphs 5 a) and b) above, Luo, Zheng and MBW hereby covenant and agree that FCC may, if in its sole discretion it determines that there has been a material adverse change in the affairs of Luo, Zheng and MBW or in their security position, immediately declare this Forbearance Agreement to be of no further force and effect and may, without further notice to Luo, Zheng and MBW, immediately take such steps as it deems necessary or advisable to realize on the Loan Agreement and the Security, including commencing foreclosure proceedings or appointing a Receiver, Receiver-Manager, trustee in bankruptcy, or liquidator of Luo, Zheng and MBW.

a) Luo, Zheng and MBW hereby jointly and severally covenant and agree to indemnify and save harmless FCC and any agent for FCC from and against any and all actions, causes of action, liabilities, claims or demands arising out of this Forbearance Agreement or the performance or non-performance of FCC of its duties and obligations herein.

a) Any notice required or permitted to be given under this Forbearance Agreement will be in writing and may be given by delivering, sending by facsimile or e-mail, sending by courier

b) Any notice delivered or sent by facsimile or e-mail on a business day will be deemed conclusively to have been effectively given on the day the notice was delivered, or the facsimile or e-mail transmission was sent successfully to the fax number or e-mail address set out above, as the case may be.

a) Time shall be of the essence of this Forbearance Agreement.

b) This Forbearance Agreement is binding upon and will enure to the benefit of FCC, Luo, Zheng and MBW, their heirs, executors, administrators, successors and assigns.

c) Each of the parties acknowledge having been advised to obtain independent legal, tax and accounting advice with respect to this Agreement and has done so or has considered doing so and, in his/her or its sole discretion and judgment, has decided that such advice is not necessary. Each Luo, Zheng and MBW further confirm that they enter into this Forbearance Agreement of their own free will without any coercion or duress having been imposed upon them by FCC or any other party.

d) Luo, Zheng and MBW will execute such further documents and assurances as may be necessary or will do such other acts and things as may be required in order to carry out the transactions contemplated by this Forbearance Agreement.

e) In this Forbearance Agreement words importing a gender will include either gender and words importing the singular will include the plural and vice versa.

f) This Forbearance Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia.

g) Delivery of an executed copy of this Agreement by facsimile, e-mail or other means of electronic communication producing a printed copy will be deemed to be execution and delivery of this Agreement on the date of such communication by the party so delivering such copy.
