In this Agreement, the words and expressions defined in this Article 1.1 shall have the meanings given to them below.

“Agreement” means this natural gas sales agreement (including its Recitals, Articles and Schedules) as originally executed, and as may be amended or revised from time to time.

“Alternative Energy Transition Plan” means the Buyer’s detailed plan as mandated to transition to alternative energy, which shall comply with the requirements and timeline set out in Schedule 8 and with the decarbonization policy for specific industry sectors issued by the relevant Governmental Authority.

“Annual Contract Quantity” or “ACQ” means the aggregate quantity of Natural Gas (measured in MMBTU at GHV) allocated to the Buyer for each Contract Year, to be determined by multiplying the DCQ for such Contract Year by the number of Days in such Contract Year

“Base Gas Price” means the price payable by the Buyer for deliveries of Natural Gas equal to or less than the MDQ in any given Day and up to the ACQ in any given Contract Year, as set out in Schedule 5

“BTU” or “British Thermal Unit” means the quantity of heat required to raise the temperature of one (1) pound avoirdupois of pure water from fourteen point seven two two three degrees Celsius (14.7223°C) to fifteen point seven two eight degrees Celsius (15.728°C) at a constant pressure of one thousand and thirteen point two five (1,013.25) millibars absolute per square inch. This is a non-metric unit of energy that is related to the metric unit “Joule”. The relation between BTU and Joule is as follows: 1 Joule = 0.000947817 BTU.

“Business Day” means a day on which the banks in the Sultanate of Oman are customarily open for business.

“Buyer’s Connection Facilities” means the Connection Facilities which are owned, operated and maintained by or on behalf of the Buyer, as further described in Schedule 2

“Buyer Group” means

“Buyer’s Plant” means the project / industrial facility owned and operated by the Buyer as described in Recital A.

“Connection Agreement” means the connection agreement to be entered into between OQGN and the Buyer, including the connection fee statement, the connection process document, all preparatory studies, budgets, assessments and other related documentation.

“Connection Facilities” has the meaning given to it in the Connection Agreement and comprise, for the purposes of this Agreement, the OQGN’s Connection Facilities and the Buyer’s Connection Facilities.

“Consequential Loss” means, in connection with the performance or non-performance of this Agreement, any loss, damage, liability and/or expense, of the following types

(a) any loss, damage, cost, or liability arising out of any delay, reduction or loss of use or production

“Contract Year” means a period beginning at 00:00:01 hours Oman time on the 1^st January in a year and ending at 23:59:59 hours on the 31^st December of the same year; provided that the first Contract Year shall be the period commencing on First Gas and ending on the next 31^st December; and provided further that, if this Agreement terminates on a date other than the 31^st December, the final Contract Year shall be the period beginning on the 1^st January preceding any such termination and ending on the Termination Date

“Daily Contract Quantity” or “DCQ” means the quantity of Natural Gas (measured in MMBTU at GHV) allocated to the Buyer for each Day of a Contract Year as set out in the Annual Programme.

If by 5:00 p.m. (New York City time) on the second (2^nd) business day immediately following any SOFR Determination Day, SOFR in respect of such SOFR Determination Day has not been published on the SOFR Administrator’s website, then SOFR for such SOFR Determination Day will be SOFR as published in respect of the first preceding business day for which such SOFR was published on the SOFR Administrator’s website

“Damages” means any and all damages, losses, costs, liabilities, expenses (including, without limitation, expenses of investigation, defence and settlement of any Claim, including reasonable fees and disbursements of counsel, court costs, and consultants’ and experts’ fees), debts, accounts, liens, judgments, penalties, fines, in each case of whatever kind or nature, contingent or otherwise, matured or un-matured.

“Date of Commercial Production” means the earlier of:

“Day” means a period of twenty-four (24) consecutive hours beginning at 00:00:01 a.m., Oman time, and the term Daily means from Day to Day.

When expressing GHV in BTU/SCF, MJ/SCM is converted using 1 MJ = 947.817 BTU and 1 SCM = 35.3147 SCF or using 1000 BTU/SCF = 37.259 MJ / SCM

“Good Practice” means acting in good faith to perform the obligations under this Agreement in accordance with the requirements of Law and international good practice in the gas industry.

“Governmental Authority” means any court, arbitral body, tribunal, inquiry or committee or any local, national or supra-national agency (including any taxing authority), authority, department, inspectorate, minister, ministry, official or public or statutory person (whether autonomous or not) of the Government of the Sultanate of Oman.

“Minimum Quantity” has the meaning given to it in Article 5.3

“Month” means, within a Contract Year, a calendar month as measured on the Gregorian calendar, beginning at 00:00:01 hours Oman time on the first Day in a month and ending at 23:59:59 hours on the last Day of the same month, provided that with respect to the first Contract Year and any calculations related thereto, the first calendar month shall commence on the earlier of First Gas or the Start Date, and shall end on the last day in the calendar month in which First Gas occurs and for subsequent months shall commence on the first day in each succeeding calendar month thereafter and end on the last day of such succeeding calendar month; and the term “Monthly” shall mean from Month to Month.

“Monthly Charge” means, with respect to any Month during the term of this Agreement, the amount determined pursuant to Article 10.1

“Natural Gas” means hydrocarbons or a mixture of hydrocarbons and other gases which consist primarily of methane, generally known as natural gas, calculated on the basis of Gross Heating Value and measured in MMBTU.

“Person” shall include an individual, firm, joint venture, unincorporated body or association, trust, partnership, limited liability company, joint stock company or other body corporate, other business entity, or any statutory corporation, company or governmental agency or entity.

“Power Plant” means any electricity generating plant already existing or coming into existence in the Sultanate of Oman for the purposes of generating electricity for supply to the electricity grid of the Sultanate of Oman.

“Project Plan” has the meaning given to it in Article 4.2.

“Representative” means, with respect to a Party, any duly authorised director, officer, employee, consultant, adviser or agent of such Party (or of OQGN with respect to the Seller)

“Reservoir” means a contiguous volume of subsurface, porous, permeable rock, having area and depth related boundaries, based on physical factors (such as faults and reservoir behaviour) which seals and contains reserves of Natural Gas which are in pressure communication on a production time scale.

“Second Window” has the meaning given to it in Article 4.4(b).

“Term” means the period of time beginning on the Effective Date and ending on the Termination Date

This Agreement shall come into full force and effect on the Effective Date and, subject to any specific rights of termination set out in this Agreement, shall continue in full force and effect until the Termination Date.

Unless this Agreement terminates earlier in accordance with its provisions, the obligations set out in Article 5 shall be for:

Effect of Termination

CONDITIONS PRECEDENT

The Parties are not obligated under Article 5 unless the Buyer has:

FACILITIES

4.1 The Parties acknowledge that the Connection Facilities will be required for the delivery of Natural Gas under this Agreement. The Buyer undertakes to allow OQGN to conduct the design, construction, installation and commissioning of the OQGN’s Connection Facilities without delay, and the Seller undertakes to allow the Buyer to conduct the design, construction, installation and commissioning of the Buyer’s Connection Facilities without delay

4.3 The Buyer shall, at its own cost, design, construct, install and commission the Buyer’s Connection Facilities in accordance with Good Practice. If the Seller (or OQGN acting on behalf of the Seller) has reason to believe that the Buyer’s Connection Facilities are not in compliance with the provisions of this Agreement or the Connection Agreement, the Seller (or OQGN acting on behalf of the Seller) shall have the right to inspect the Buyer’s Connection Facilities. The Seller shall have the right to terminate this Agreement if the Buyer does not rectify any non-compliance within thirty (30) Days of receipt of a written notice of such non-compliance.

4.4 The Buyer shall notify the Seller and OQGN:

5.4.1 In order for the Seller to establish the quantities of Natural Gas to be allocated for delivery to the Buyer on each Day of a Contract Year, the Buyer shall notify the Seller and OQGN in writing of the Buyer’s estimated Daily requirement for Natural Gas for such Contract Year in accordance with Schedule 1

Nomination Procedures

Subject to the provisions of this Agreement, the quantities of Natural Gas to be delivered on any Day at the Delivery Point shall be determined in accordance with the Daily Programme and the nomination procedures set out in Schedule 1

Establishment of the DCQ

The Seller shall set out in the Annual Programme the Daily Contract Quantity by reference to which the Buyer shall take delivery of Natural Gas on a continuous basis and in substantially equal volumes on each Day of the relevant Contract Year, always subject to operational considerations, the MDQ and the ACQ for such Contract Year.

The Seller shall have no obligation to deliver Natural Gas in quantities in excess of the MDQ. Taking Natural Gas up to the MDQ in accordance with this Article 5.7 shall not be considered as taking Excess Natural Gas under Article 5.11, except to the extent that the aggregate quantities of Natural Gas taken during a Contract Year exceeds the ACQ for such Contract Year.

On each Day on which the Buyer requests the delivery of Natural Gas under this Agreement, the Seller shall (subject to the provisions of this Article 5.8) make Natural Gas available for delivery at the Delivery Point on a substantially continuous basis at the flow rate(s) specified by the Buyer in the Daily Programme for that Day and in an aggregate quantity equal to the Nominated Quantity for that Day.

The Buyer shall not specify a flow rate in any Daily Programme for any Day or otherwise take Natural Gas under this Agreement in a manner which would cause

Minimum Purchase Undertaking

The Minimum Quantity shall be calculated according to the following formula:

The Buyer shall be entitled, in each Contract Year, to a credit (expressed in MMBTU at GHV) against future Natural Gas deliveries corresponding to the Deficiency Quantities paid for by the Buyer in that Contract Year as provided in this Article 5.10. The quantity of Natural Gas to be delivered to the Buyer on account of such credit is referred to as the “Make Up Gas”. The Make Up Gas credit balance shall be recorded in an account to be maintained by the Seller (the “Make Up Gas Account”).

In the event that the Seller is unable, for any reason (whether for reasons of Force Majeure or otherwise), on any Day to deliver Natural Gas to the Buyer (in the Nominated Quantity) and to third parties (in the quantities set out) under any other agreement under which the Seller is to supply Natural Gas, the Seller shall cause Natural Gas available for supply to the affected buyers on such Day to be allocated in accordance with the following priorities:

Notwithstanding the foregoing, the Seller does not represent or warrant that the Natural Gas made available and sold to the Buyer under this Agreement is (or shall be) fit for any particular or general purpose.

The Buyer’s refusal to take any such Off-Specification Gas shall be the sole remedy available to the Buyer with respect to a Quality Failure and there shall be no adjustment to the Base Gas Price or (if applicable) the Excess Gas Price for any Off-Specification Gas taken by the Buyer.

Monitoring

The Seller hereby agrees to indemnify and hold the Buyer harmless from any and all Damages arising from or out of the Seller’s breach of this warranty of title.

Monthly Invoices

No later than ten (10) Days from the end of each Month, the Seller shall issue and deliver to the Buyer a monthly invoice (the “Monthly Invoice”) showing the Monthly Charge for the amount of Natural Gas sold and delivered under this Agreement during such Month. To the extent that any information required to calculate the Monthly Charge is not available in time for the issuance of the Monthly Invoice, such information shall be presented on an estimated basis, with such estimate corrected to an actual total on the Monthly Reconciliation Statement, or as soon thereafter as the same becomes available.

No later than thirty (30) Days from the end of each Contract Year, the Seller shall submit to the Buyer a statement (the “Annual Reconciliation Statement”) showing:

the Deficiency Quantities for such Contract Year; and

The Due Date for the payment of amounts shown on a Monthly Invoice or a Monthly Reconciliation Statement shall be whichever comes last of:

thirty (30) Days from the end of the Contract Year covered by such Annual Reconciliation Statement; or

Neither Party shall have the right to question or contest any charge, credit or payment amount set out in such invoices or statements if the matter is not brought to the attention of the other Party in writing within seven (7) Years from the date of the Monthly Invoice, Monthly Reconciliation Statement or Annual Reconciliation Statement in question.

Bona Fide Disputes

10.5.1 If the Buyer disputes any charge, credit or amount claimed by the Seller pursuant to this Article 10, the Buyer shall pay the invoiced amount in full by the Due Date and shall notify the Seller of the disputed amount and the reasons for the dispute.

No later than thirty (30) Days prior to the start of each Contract Year, the Buyer shall provide to the Seller an unconditional, irrevocable on-demand bank guarantee in the format set out in Schedule 6 (the “Bank Guarantee”), in order to guarantee the Buyer’s timely performance of its payment obligation under this Article 10 and Schedule 7. The Bank Guarantee shall be:

The Project Plan shall include the Buyer’s best estimate of the date for commencement of the Commissioning Period and the Buyer shall keep the Seller informed of any change to such date. The Seller shall not be obliged to commence delivery of Natural Gas for the Commissioning Period any sooner than the Start Date

The Buyer undertakes to test, maintain and operate the Buyer’s Connection Facilities; and the Seller undertakes to procure that OQGN tests, maintains and operates the OQGN’s Connection Facilities, in each case so as to be in compliance with their respective obligations under this Agreement.

Unplanned Fluctuations

12.3.1 It is recognised that there may be unplanned daily fluctuations in deliveries of Natural Gas within the specifications set out in ‎Schedule 4 Schedule 4. The Seller shall use Reasonable Efforts to minimise or cause to be minimised such fluctuations consistent with prudent operating practices. The Buyer shall use Reasonable Efforts to regulate its receipt of Natural Gas at the Delivery Point in a manner that will balance such normal fluctuations.

12.3.3 Should either Party become aware at any time that the quantity of Natural Gas delivered at the Delivery Point is greater or less than the Nominated Quantity, or that there is any variation with respect to the Natural Gas delivered outside the range of specifications set out in Schedule 4, such Party shall notify the other Party’s dispatcher by telephone immediately or by other means of immediate communication. The Party responsible for any such variance shall, upon becoming aware of such variance, immediately take all steps reasonably necessary to correct and prevent the recurrence of such variance. The timing of such corrective steps shall be as mutually agreed by the Parties.

OMANISATION

Omanisation Plan

The Buyer shall give Omani nationals preference in the staffing of its operations. To that end and without prejudice to any more stringent requirements established by Law or the policy of any relevant Governmental Authority, the Buyer shall establish and maintain a hiring, training and succession plan for Omani nationals that meets or exceeds the Omanisation levels set out in section A of Schedule 7 (“Omanisation Plan”).

Raw Materials

14.1.1 The Buyer shall utilise and give priority to Omani raw materials for its procurement needs. To that end, the Buyer undertakes to procure the minimum raw materials commitments levels set out in section B of Schedule 7, provided that such Omani raw materials are:

Social Responsibility

The Buyer shall contribute towards local community or charity projects an amount representing at least one percent (1%) of the net profit generated from its operations. The Seller reserves the right to approve in advance the Buyer’s social responsibility activities.

ALTERNATIVE ENERGY TRANSITION PLAN

The Buyer’s compliance with the Alternative Energy Transition Plan is a material condition of this Agreement

No later that one (1) Year from the Effective Date and on each anniversary thereafter, the Buyer shall submit to the Seller an annual progress report which provides detailed information in respect of the Buyer’s progress towards achieving the Alternative Energy Transition Plan, indicating whether the Buyer is on track to achieve the Alternative Energy Transition Plan (the “Alternative Energy Progress Report”). Following receipt of the Alternative Energy Progress Report, the Seller shall provide any comments, requests for additional information and/or supporting documents relating to the Alternative Energy Progress Report.

WARRANTIES

Each Party hereby represents and warrants to the other Party that:

The report shall include ideas and recommendations for indirect or associated investments related to the Buyer’s project for consideration by the Seller.

Certain Events Not Excused

None of the following events shall be construed to relieve either Party of its obligations under this Agreement by reason of Article 19.1

any event affecting any customer of the Buyer; or

any changes in market conditions that affect the demand for or the price of (i) Natural Gas or, (ii) any product or service produced by the Buyer's Plant

The occurrence of an event of Force Majeure shall not relieve any Party of its obligation to pay when due an invoice issued to such Party by the other Party hereunder, or of its obligation to pay when due any Tax payable by such Party in accordance with this Agreement.

Notification

As soon as possible following the date of commencement of any Force Majeure event, but in no event later than fifteen (15) Days of such occurrence, if a Party desires to invoke such Force Majeure event as a cause for delay or nonperformance of any obligation hereunder, it shall

(c) upon request from the other Party, provide information to substantiate the continuation of the Force Majeure event

The affected Party shall promptly give notice to the other Party upon becoming able to resume performance of its obligations so suspended, and the Force Majeure event shall be deemed to have ended on the date of such notice.

Without prejudice to the foregoing, the affected Party may, acting in its sole discretion and by notice to the other Party, waive all or any part of the relief granted under Article 19.1 in respect of a Force Majeure event, and, to that extent, the rights and obligations of the Parties shall be determined as if such Force Majeure event had not occurred.

Duty to Mitigate

The Party affected by a Force Majeure event shall use Reasonable Efforts to find a solution aimed at reducing to a minimum and mitigating the effects of such Force Majeure event as promptly as practicable. Such Party shall use Reasonable Efforts to ensure the prompt resumption of normal performance of its obligations under this Agreement after the occurrence of the Force Majeure event and shall perform its obligations under this Agreement to the maximum extent possible for the duration of the Force Majeure event

Extended Force Majeure

Should the Force Majeure event continue unabated for an uninterrupted period of thirty (30) Days or more, then the Parties shall meet to determine their future course of action.

LIABILITY AND INSURANCE

Seller Group's Property and Personnel

The Buyer shall be responsible for, and agrees to protect, indemnify and hold the Seller Group harmless from, any Damages or Claims in respect of any and all

Consequential Loss

Notwithstanding anything to the contrary set out in this Agreement, in no event shall a member of the Seller Group or a member of the Buyer Group, be liable to one another for any Consequential Loss suffered or incurred by the other, arising out of, or in connection with, the performance or non-performance of this Agreement, irrespective of whether such Consequential Loss was caused or contributed to by their sole or concurrent negligence or breach of duty, whether statutory or otherwise.

Insurance

The Buyer shall, at its own expense, procure and maintain the following insurance:

The Buyer shall provide the Seller with copies of the above insurance policies, together with evidence of their validity, when so requested by the Seller. All such insurance placed by or on behalf of any member of the Buyer Group shall provide that underwriters waive their rights of subrogation against the members of the Seller Group.

GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

This Agreement shall be governed by and construed in accordance with the Law.

All disputes arising out of or in connection with this Agreement, whether arising during its term or thereafter, shall be exclusively referred to the jurisdiction of the competent courts in Muscat, Sultanate of Oman.

SUSPENSION AND TERMINATION

Suspension

In addition to any contractual and legal remedies that it may have, the Seller may elect, acting in its sole discretion, to suspend the delivery and sale of Natural Gas to the Buyer in the event that the Buyer fails to:

make any payment due to the Seller under this Agreement by the Due Date;

being on track to achieve the Alternative Energy Transition Plan; or

The Seller shall send to the Buyer a written notice indicating the reasons for the suspension within ten (10) Days of the suspension.

Termination

In addition to any contractual and legal remedies available to it, the Seller may elect, acting in its sole discretion, to terminate this Agreement if the Buyer fails to remedy any failure listed in Article 22.1 within ninety (90) Days from the receipt of a notice from the Seller to that effect

The Seller may also terminate this Agreement in the event that the Buyer fails to:

In the event of a delay which appears likely to breach Article 22.2.2(b), the Seller may elect, acting in its sole discretion, to grant to the Buyer an extension of time of up to six (6) months to complete the construction and commissioning of the Connection Facilities and the Buyer's Plant.

Subject to Article 23.2 and Article 23.3, neither Party shall be entitled to assign, wholly or in part, the benefit of or any right or obligation under this Agreement to any third party without first obtaining the prior written consent of the other Party.

The Buyer shall, promptly upon the Seller's request, take any actions which the Seller reasonably requests to complete and perfect any such assignment

23.3 The Buyer may, with the prior written consent of the Seller (such consent not to be unreasonably withheld or delayed), assign, mortgage, charge or pledge all or any of its rights, interests, benefits and obligations under this Agreement to secure payment of any indebtedness incurred or to be incurred by the Buyer or any Affiliate in connection with the construction and financing or refinancing of the Buyer's Plant. It is recognised that the terms of any such assignment mortgage, charge or pledge may require the Buyer to obtain the consent of some or all of such Persons before agreeing to any amendment to this Agreement.

23.4 Notice of any assignment made pursuant to Article 23.2 or Article 23.3 shall be given by the Party making the assignment to the other Party not less than thirty (30) Days prior to the effective date of the assignment. In the notice the Party making the assignment shall set out the name and address of the Person to which the assignment will be made, the rights and obligations being assigned, and the effective date of the assignment.

Each Party undertakes to protect the confidentiality of this Agreement and any commercially sensitive information belonging to the other Party and pertaining to this Agreement (the “Information”), to which they gain access during the Term. Nothing contained in this Article 24, however, shall apply to information which

Permitted Disclosure

Each Party may, without obtaining the prior written consent of the other Party, disclose all or any of the terms of this Agreement and the Information received from the other Party:

to its legal, financial, commercial and technical advisers;

to any member of its Group

25.1.1 This Agreement sets forth the entire agreement and understanding of the Parties as to the subject matter hereof, and supersedes all negotiations, commitments and writings prior to the Effective Date pertaining thereto.

Calculation of Interest

All calculation of interest shall include the first Day but exclude the last Day of the relevant interest period.

Waivers

Partial invalidity

In the event that any one or more of the provisions contained in this Agreement shall be invalid, illegal or unenforceable in any respect under any applicable law

(a) the validity, legality and enforceability of the remaining provisions shall not be affected or impaired thereby in any way; and

Further Actions

3. Meters shall be calibrated once every three (3) Months, unless the Parties agree otherwise, provided that, if a multipath ultrasonic flow meter is used, OQGN and the Buyer may agree to revise the meter calibration frequency on the basis of the manufacturer's recommended guidelines.

If the amounts of energy are calculated incorrectly due to a calculation error or due to the application of an incorrect parameter, recalculation of the affected amounts shall be performed to zero error by applying one of the following methods (in the order of priority set out below), using whichever method is the first that is found to be feasible:

"PPA" means power purchase agreements

The Government of the Sultanate of Oman is committed to reaching net zero emissions by 2050 as announced in its National Strategy for an Orderly Transition to Net Zero. In line with Oman’s Vision 2040, MEM set in the Oman Energy Transition Policy a pathway to establishing and growing a vibrant low-carbon economy, including RE and H₂ targets among other metrics.

D. Buyer’s obligations towards the MEM Targets and ONZC targets

1. The Buyer’s Plant shall be ready to receive and utilize Local Combined Hydrogen in replacement of Natural Gas in accordance with (the quantities and timeline set by) the MEM Targets

2. Sectoral decarbonization targets issued in the future by ONZC (or other competent Governmental Authority) will apply to all industrial consumers. If Local Combined Hydrogen is unavailable, Excess Natural Gas may be made available by the Seller in accordance with the terms of this Agreement.
