This MOBILE GAME SUBLICENSING AGREEMENT (the “Agreement”) is entered into as of February 24, 2025 (the “Effective Date”), by and among the following parties

Shanghai Kingnet Information Technology Co., Ltd, (上海恺英信息技术有限公司), a Chinese corporation with a principal place of business at Room 302, Building 3, No. 2388 Chenhang Road, Minhang District, Shanghai,China (“Licensor” and/or “Developer”).
上海恺英信息技术有限公司(上海恺英信息技术有限公司),一家主要营业地位于上海市闵行区陈行路 2388 号 3 号楼 302 室的中华人民共和国公司(“许可方”和/或“开发者”)。
Webzen Inc., a corporation duly organized and validly existing under the laws of the Republic of Korea with its registered head office at 242, Pangyo-ro, Bundang-gu, Seongnam-si, Gyeonggi-do, Korea 13487 (“Licensee”)

Playpark PTE., a Singapore corporation with a principal place of business at #12-01,The Concourse,300 Beach Road,Singapore 199555. (“Sublicensee”); and

Licensor and/or Developer, Licensee, and Sublicensee shall be referred to individually as a “Party,” and collectively as the “Parties.”

RECITALS
序言
WHEREAS, Licensor has publishing rights of a mobile game known as “永恒联盟” in the appropriate territory;
鉴于,许可方在相应地区拥有名为“永恒联盟”的移动游戏的出版权;
WHEREAS, Licensor grants Licensee the sublicensing rights to publish and operate “永恒联盟” in Southeast Asia (Singapore, Malaysia, Philippines, Indonesia, Thailand) under the terms and conditions set forth in this Agreement;
鉴于,许可方授予被许可方在东南亚(新加坡、马来西亚、菲律宾、印度尼西亚、泰国)发布和运营“永恒联盟”的分许可权,具体条款和条件如本协议所述;
WHEREAS, Licensee may engage third-party sublicensee (e.g., Playpark, and/or Sublicensee) for the distribution and servicing of “永恒联盟” in the Service Territory, subject to the terms of a separate Sublicensing Agreement such as this Agreement, which shall be reviewed and approved by the Licensor

WHEREAS, Developer’s role and responsibilities, including revenue sharing and technical integration, shall be determined through mutual agreement and reflected in an amendment or addendum to this Agreement.

NOW THEREFORE, the Parties agree as follows:

Part I. DEFINITIONS

In this Agreement, unless the context otherwise requires, the following terms shall have the indicated meanings.

“Affiliate” of a party means a person or entity that Controls, is Controlled by, or is under common Control with that party (but only for so long as Control exists), where “Control” of a person or entity means the possession, directly or indirectly, of the power to direct or cause the direction of the management, operating policies, or assets of that person or entity, whether by way of ownership of more than 50% of its voting or equity securities or assets or by way of contract, management agreement, voting trust, or otherwise.

“Ancillary Business” means business related to the Licensed Product for monetary compensation, including without limitation, business involving character merchandising, toys, apparels, comic books, fiction novels, and posters.

“Approval” means consent provided in writing from an authorized representative of Licensee or Sublicensee, as applicable.

“Authorized Platform Data” means any data or information that is submitted by an End User through the Sublicensee Platform or otherwise collected by Sublicensee as a result of an End User’s direct access or use of the Sublicensee Platform, including user name, password, profile, social graph data, and email address. For the avoidance of any doubt, in no event will Sublicensee Platform Data include any Game Data.
“授权平台数据”是指通过子许可方平台提交或由子许可方因终端用户直接访问或使用子许可方平台而收集的任何数据或信息,包括用户名、密码、个人资料、社交图谱数据和电子邮件地址。为了避免任何疑问,在任何情况下,子许可方平台数据均不包括任何游戏数据。
“Business Day(s)” means any day other than a Saturday, Sunday or public holiday(s) in accordance with laws and regulations of the territories of the Korea and the Territory.
“Business Day(s)”指除韩国和领土的法律和法规规定的周六、周日或公共假日外的任何一天。
“Commercial Service” means all fee-based services and other charges related to the Localized Game in the Territory by which Licensee permits End Users (as defined below) to play or otherwise use the Localized Game.
“商业服务”是指所有基于费用的服务以及与在地域内许可的本地化游戏相关的其他费用,许可方允许最终用户(如下文定义)玩游戏或以其他方式使用本地化游戏。
“Change of Control” means (i) any consolidation or merger of a Party with or into any other corporation or other entity or person, or any other corporate reorganization, in which the stockholders of Party immediately prior to such consolidation, merger or reorganization, own less than 50% of the voting power of the surviving entity immediately after such consolidation, merger or reorganization; (ii) any transaction or series of related transactions to which a Party is a party in which in excess of fifty percent (50%) of such Party’s voting power is transferred; or (iii) a sale, lease or other disposition of all or substantially all of the assets of a Party, or a sale or exclusive license of all or substantially all of a Party’s Intellectual Property Rights
“控制权变更”是指(i)一方与任何其他公司或其他实体或个人合并,或任何其他公司重组,在该合并、合并或重组之前,该方股东持有存续实体的投票权不足 50%;(ii)一方参与的任何交易或一系列相关交易,其中超过 50%的该方投票权被转让;(iii)一方全部或大部分资产的出售、租赁或其他处置,或一方全部或大部分知识产权的出售或独家许可.
“Channel” means Google Play and Apple Store, and any other channels in the Territory with Licensee’s Approval and recognition. Channels may be referred to as Authorized Platform.

“Commercial Service” means all fee-based services and other charges related to the Licensed Product in the Territory by which Sublicensee permits End Users (as defined below) to play or otherwise use the Licensed Product

“Commercial Launch Date” means the date when the Commercial Service of the Licensed Product is commenced in the Territory as specifically agreed between Sublicensee and Developer and approved in writing by Licensee

“Confidential Information” means all information relating to the businesses of the Parties, including without limitation, information on the Licensed Product and technologies relating thereto or embodied therein, the identity of its arrangements with any person or entity, manufacturing sources and processes, financial information of the Parties, including pricing and cost information, new products or plans for new products, and marketing plans and materials.
保密信息是指与各方业务相关的所有信息,包括但不限于关于许可产品和相关或包含其中的技术的信息,与任何个人或实体的安排身份,制造来源和工艺,各方的财务信息,包括定价和成本信息,新产品或新产品的计划,以及营销计划和材料。
“End Users” means any individual or entity that accesses, downloads, installs, or otherwise uses the Licensed Product for personal or authorized purposes, whether or not such use is in exchange for any monetary consideration, and is subject to the end user license agreement (“EULA”) or similar terms governing the use of the Licensed Product.
“最终用户”是指任何访问、下载、安装或以其他方式为个人或授权目的使用许可产品的个人或实体,无论此类使用是否以任何货币考虑为交换,并受最终用户许可协议(“EULA”)或类似条款的约束,这些条款规定了许可产品的使用。
“EULA” means the binding legal agreement between the Publisher (or its authorized distributor) and End Users that sets forth the rights, obligations, and restrictions governing the use of the Licensed Product, including any accompanying services, virtual items, or related content.

“Game Content” means audio and visual works and content included within the Licensed Product as may be updated by Developer from time to time, including without limitation representations of game systems, features, characters, places, objects, products, music, and sound effects.
游戏内容指包含在授权产品中的音频和视觉作品及内容,包括开发者不时更新的内容,包括但不限于游戏系统、功能、角色、地点、物体、产品、音乐和音效。
“Game Data” means all data and information that is collected or generated through operation of the Licensed Product. Game Data includes data and information (i) submitted, uploaded, posted, or otherwise made available by an End User; (ii) about an End User’s game play such as characters, accounts, logs, items, quests, monsters, and guilds; (iii) collected or generated as a result of an End User’s access or use of the Licensed Product; stored by the Server Software; and (iv) used to display usage statistics such as time played, scores, leader boards, and in-game items purchased; and about game usage. For the avoidance of any doubt, in no event will Game Data comprise any Personal Data and Sublicensee Platform Data.
“游戏数据”是指通过授权产品的运营所收集或生成的所有数据和信息。游戏数据包括以下数据和信息:(i)由最终用户提交、上传、发布或以其他方式提供的;(ii)关于最终用户游戏玩法的数据,如角色、账户、日志、物品、任务、怪物和公会;(iii)由于最终用户访问或使用授权产品而产生的收集或生成;(iv)由服务器软件存储;(v)用于显示使用统计数据,如游戏时间、得分、排行榜和游戏中购买的物品;以及关于游戏使用情况。为了避免任何疑问,在任何情况下,游戏数据都不会包括任何个人信息和被许可平台数据。
“Game KPI” means traffic data collected through operation of the Licensed Product (which must include at minimum daily, weekly, and monthly active users, concurrent users, new active users, retention rate, number of downloads, and user play time) and revenue data collected in course of the operation of the Licensed Product or through Commercial Service which shall be broken down in detail by payment channel and must include at minimum daily revenue, number of units sold (number of in-game items, cashes, gems, etc. sold), and the number of in-game purchase users.
“游戏关键绩效指标”是指通过运营授权产品(至少包括每日、每周和每月活跃用户数、同时在线用户数、新增活跃用户数、留存率、下载次数和用户游戏时长)收集的流量数据,以及通过运营授权产品或通过商业服务收集的收入数据,应按支付渠道详细分解,至少包括每日收入、销售单位数(游戏内物品、现金、宝石等销售数量)和游戏内购买用户数。
“Promotional Events” means events that may be run by the Sublicensee or an Authorized Platform before and/or after the Commercial Launch for the purpose of promoting, marketing, and/or advertising the Licensed Product, which may involve, without limitation, the discounting or gifting of in-game items, distributing gift coupons, providing free mileage, or other forms of user incentives.
推广活动是指许可方或授权平台在商业发布前后可能举办的活动,旨在推广、营销和/或广告许可产品,可能包括但不限于折扣或赠送游戏内物品、分发礼品券、提供免费里程或其他形式的用户激励措施。
“Gross Revenue” means any and all types of compensation, including without limitation, any and all fees, revenue, and income paid and/or to be paid by End Users, arising from the provision of the Commercial Service in the Territory, including any Gifted/Promotional Amounts recognized as revenue. Gross Revenue shall exclude government taxes (such as VAT and/or consumption tax) and the Excludable Payments. For purposes of this Agreement, “Excludable Payments” shall include, but are not limited to:

Refunds or chargebacks to End Users for commercially valid reasons; and
退款或对最终用户因商业有效原因产生的逆向交易;
Any withholding tax or similar tax obligations incurred in the Territory on account of the Licensee or Developer.
任何因许可人或开发商在领土内产生的预扣税或类似税收义务。
“Hacking” means any unauthorized access, programming, modification of computer code, or other actions affecting any component of the Game, Authorized Platform, Game Data, Authorized Platform Data, or Personal Data, including but not limited to any database of the Licensed Product. This includes the use of cheats, fraudulent activities, and any other actions that modify or simulate certain parts of the online system to gain an unfair advantage. Users who employ Hacking programs may achieve in-game results that would otherwise require significant time and effort or that are unattainable through normal gameplay. The effects of Hacking programs vary; for example, in a role-playing game, a user utilizing a Hacking program may move faster, deal increased damage, or obtain superior in-game items compared to regular players. Hacking programs can severely disrupt game balance and degrade the overall user experience. In some cases, they may also interfere with the monetization of the Licensed Product. “Anti-Hacking” refers to any measures or activities undertaken to prevent, detect, and mitigate the effects of Hacking.
“黑客”是指任何未经授权的访问、编程、修改计算机代码或其他影响游戏、授权平台、游戏数据、授权平台数据或个人数据任何组件的行为,包括但不限于授权产品的任何数据库。这包括使用作弊、欺诈活动以及任何修改或模拟在线系统某些部分以获得不公平优势的行为。使用黑客程序的用户可能获得在游戏中通常需要大量时间和精力或通过正常游戏无法获得的结果。黑客程序的效果各不相同;例如,在角色扮演游戏中,使用黑客程序的用户可能移动更快、造成更多伤害或获得比普通玩家更优越的游戏物品。黑客程序可能会严重破坏游戏平衡并降低整体用户体验。在某些情况下,它们还可能干扰授权产品的货币化。“反黑客”是指为防止、检测和减轻黑客行为的影响而采取的措施或活动。
“Intellectual Property Rights” means any and all intangible rights, privileges, and forms of protection, whether now known or hereafter devised (including future developments or extensions), throughout the universe and by whatever name or term known or designated. Without limitation, this includes:

Rights Associated with Works of Authorship, such as copyrights (including the exclusive right to create derivative works, copy, manufacture, reproduce, distribute, modify, perform, or display the copyrighted work and its derivative works), moral rights (including the right to attribution and any limitation on modification), and any other rights under applicable copyright laws
著作权的权利,例如版权(包括创作演绎作品、复制、制造、复制、分发、修改、表演或展示受版权保护的作品及其演绎作品的专有权利)、人身权(包括署名权和对修改的限制等)以及适用版权法下的任何其他权利;
Industrial and Proprietary Rights, such as patents, utility models, designs (registered or unregistered), semiconductor topographies, algorithms, and other similar rights, along with any applications, renewals, extensions, continuations, or reissues thereof now or hereafter in force
工业和专有权利,如专利、实用新型、设计(已注册或未注册)、半导体拓扑、算法以及其他类似权利,以及任何此类权利的申请、续展、扩展、继续或重新颁发,无论现在或将来生效;
Trade Secrets and Confidential Information, including any proprietary information, know-how, data, databases, and all computer code or scripts (whether compiled or not, in any language), as well as any other information protected under applicable trade secret or confidentiality laws
商业秘密和机密信息,包括任何专有信息、技术诀窍、数据、数据库以及所有计算机代码或脚本(无论是否编译,任何语言),以及任何受适用商业秘密或保密法保护的其他信息;
Trademarks and Related Rights, such as trademarks, service marks, trade names, domain names, get-up (trade dress), goodwill, logos, advertising rights, merchandising rights, rights of publicity, and any registrations or applications pertaining to these rights; and
商标及相关权利,例如商标、服务标志、商号、域名、外观设计(商业外观)、商誉、标志、广告权、商品化权、公开权以及与这些权利相关的任何注册或申请;
Other Analogous Rights, encompassing all other intellectual, industrial, or proprietary rights of every kind and nature, whether arising by operation of law, contract, license, or otherwise, including any claims or causes of action related to enforcement of the foregoing, and any intangible rights or forms of protection having a similar effect to any of the above.
其他类似权利,包括所有其他种类和性质的知识产权、工业产权或专有权利,无论是否因法律、合同、许可或其他方式产生,包括与上述权利执行相关的任何主张或诉讼原因,以及任何与上述权利具有类似效果的非物质权利或保护形式。
“License Fee” means a non-recoupable and non-refundable amount paid by Sublicensee to Licensee and Developer in consideration of the license granted in this Agreement.

“Sublicensee Platform” means the social networking and mobile device platforms that are hosted, held, controlled, and operated by Sublicensee or its Affiliates with Licensee’s Approval.

“Licensed Product” means the localized version(s) of the Authorized Work that the Developer has adapted to suit the cultural, linguistic, or market preferences of the Territory, in accordance with this Agreement. For clarity, the Licensed Product encompasses all updates, expansions, enhancements, patches, derivative works, and related materials (including documentation, visual/audio content, or additional digital content) developed or made available in the Territory pursuant to this Agreement.
“许可产品”是指开发者根据本协议,为适应领土的文化、语言或市场偏好而改编的授权作品的本地化版本,包括所有更新、扩展、增强、补丁、衍生作品和相关材料(包括文档、视觉/音频内容或额外数字内容),这些内容根据本协议在领土内开发或提供。
“Net Revenue” shall

mean the Gross Revenue reduced by the Authorized Platform Fee.

“Marketing Materials” means any items from the following categories: advertising, marketing, promotional, promotional merchandise or other similar materials (including without limitation any product-specific Internet sites, game cards), anything provided by Developer or modified by Sublicensee which are Approved by Licensee for use in connection with the advertising, marketing, promotion or distribution of the Licensed Product
“营销材料”指以下类别中的任何项目:广告、营销、促销、促销商品或其他类似材料(包括但不限于任何特定产品的互联网网站、游戏卡),由开发者提供或经被许可方修改并由许可方批准用于与许可产品相关的广告、营销、促销或分销的任何内容.
“Minimum Guarantee” means the non-refundable, guaranteed minimum royalty amount that the Sublicensee agrees to pay to the Licensee and/or Developer in accordance with this Agreement, which may be applied as an advance and offset against future royalty obligations

“Operating System” means the system software under which the Licensed Product may operate, including, at a minimum, PC, Android, iOS, and Windows Mobile operating systems. For the avoidance of doubt, this includes versions of these operating systems running on mobile devices, tablets, and/or PCs, as applicable.

“Patches” means software designed and used for the purpose of fixing problems to the Licensed Product, including fixing security vulnerabilities, Errors, and bugs.

“Personal Data” means any data or information generated or gathered from a Sublicensees’ Platform or the operation of the Licensed Product that can be used to identify, contact, or locate a person, including a person’s name, mailing address, email address, ID, telephone number, and financial information.

“Royalty” means the fee the Subicensee is obliged to pay to the Licensor, and/or Licensee under this Agreement.

“Services” means certain types and parts of the services related to the Licensed Product including but not limited to the mobile and PC game services, the server administration and management of the Licensed Product, technical support assistance to end users, billing to end users, marketing of the Licensed Product and any other activities as stipulated in, and contemplated under this Agreement, as expressly permitted by Licensor to be conducted by the Licensee according to the terms hereunder.
“‘服务’指与许可产品相关的某些类型和部分服务,包括但不限于移动和 PC 游戏服务、许可产品的服务器管理和运营、对最终用户的客户支持、向最终用户收费、许可产品的营销以及本协议规定和预期下进行的任何其他活动,许可人明确允许许可人根据本协议的条款进行实施。”
“Tax” means the taxes levied by applicable governmental authority (s) on the Royalty, and all other fees that are paid to the Licensor and/or License by the Sublicensee under this Agreement.

“Territory” shall mean the Southeast Asian countries including Singapore, Malaysia, Philippines, Indonesia, and Thailand

“Update” shall mean the modification, variation, change, enhancement or improvement of the Licensed Product other than addition of Patch, provided however, that a change to the genre of the Licensed Product or any material change to the game mechanic (as determined by Licensee) shall not be considered an Update, unless mutually agreed as otherwise between the Parties. Update shall include without limitation, expansion, such as addition of new game areas, new weapons, or extended storyline and other content related updates to the Licensed Product.
“更新”应指对许可产品的修改、变更、变化、增强或改进,但不包括补丁的添加,然而,如果许可方认为许可产品的类型变更或对游戏机制的重大变更(除非双方另有协议)不应被视为更新。更新应包括但不限于扩展,例如添加新游戏区域、新武器或扩展故事情节以及其他与许可产品相关的更新内容。
Part II. Common Terms and Conditions

License Grant
许可授权
Grant of Exclusive License. Licensee hereby grants to Sublicensee an exclusive, royalty-bearing, non-assignable, and non-transferable license in the Territory to

Market, publish, distribute, host, and operate the Licensed Product in the Channels for the provision of Commercial Service in the Territory;

Use or reproduce Marketing Materials, including the creation of derivative works (“Promotional Materials”) solely for marketing and promotion of the Licensed Product, subject to discussion with Licensee. Such Promotional Materials shall not be used for direct sales. Licensee may also use these Promotional Materials for any Ancillary Business in the Territory upon prior notice to Sublicensee, without any additional cost;

Use the Game Data to operate the Licensed Product and for other purposes consistent with the scope of this Agreement; and

Licensee further grants to Sublicensee a non-exclusive, non-assignable, non-transferable, and non-sublicensable license in the Territory to use the trademark(s) and trade name(s) approved by Licensee and Developer solely for the marketing, promotion, and operation of the Licensed Product. The local name/title of the Licensed Product shall be determined by Sublicensee with Licensee’s prior approval.

Development of the Licensed Product. Developer shall be responsible for the development of the Licensed Product in the Territory and shall deliver the Licensed Product to Sublicensee, as stipulated and agreed upon by the Parties in this Agreement and pursuant to Licensee’s entrustment.

Rights retained by Licensee. Except for the rights specifically granted to Sublicensee under this Agreement, any and all rights in and to the Licensed Title and the Licensed Product are retained by Licensee. Licensee retains the right, at its sole discretion and upon notification to Licensor, to engage in Ancillary Business in the Territory. For the avoidance of doubt, and subject always Collaboration Agreement dated July 20, 2022, any and all rights to distribute and exploit the Licensed Title and the Licensed Product (i) outside of the Channel, or (ii) in any version not exclusively licensed hereunder, remain exclusively reserved by Licensee in the Territory. Licensor retains its intellectual property rights to the Licensed Title and the Licensed Product.

Licensee shall assist Sublicensee in obtaining and maintaining, during the Term of this Agreement, any documentation or approvals that are necessary under applicable law.

Licensee shall have the right to freely use any images, logos, slogans, initiatives, and creative ideas developed by Sublicensee in the course of providing the Commercial Service for Licensee’s own purposes.

Licensee commits to being the legal owner, or to being duly licensed to use, the Intellectual Property Rights of the Licensed Title. Licensee, together with Developer, shall cooperate to resolve any disputes concerning the copyright of the Licensed Title provided to Sublicensee during the cooperation process.

Sublicensee’s obligations.

Sublicensee shall exercise commercially reasonable efforts to distribute, advertise, promote, and market the Licensed Product so as to maximize Gross Revenue.

Sublicensee shall notify Licensee at least three (3) Business Days prior to commencing any promotional activities or events (e.g., gift coupons, free mileage, discounts) so that there is sufficient time to prepare new content and/or manufacture event materials. If Licensee does not respond within one (1) Business Day following receipt of Sublicensee’s notification, Licensee is deemed to have consented to such activities or events.

Sublicensee shall arrange and secure all necessary server hosting and content delivery networks (CDNs) for the Commercial Service at its own cost.

Sublicensee shall obtain all necessary government approvals for the commencement of Charge Service in the Territory.

Sublicensee shall ensure that the Commercial Launch Date of the Licensed Product on the Channels takes place within eight (8) months from the date the Relevant government approves the commencement of the Commercial Service in the Territory.

Sublicensee shall comply with all terms and conditions set forth in this Agreement, as well as with all applicable laws and regulations.

Sublicensee shall implement protection measures for the Licensed Title (the “Protection Materials”) to the extent possible, reasonable, and lawful, and within the scope of Licensee’s and Developer’s authorization. Sublicensee shall take at least the same degree of care to protect the Protection Materials as it does for its own similar confidential or proprietary materials, but in no event less than reasonable care.

Sublicensee shall pay Licensee and Developer all payments, including but not limited to the License Fee, Minimum Guarantee, and Royalty, in a timely manner according to this Agreement.

Sublicensee shall designate a project manager in the Territory as its primary contact for communicating with Licensee and Developer in English, Chinese, or Korean.

Developer’s obligations

Developer shall deliver the Licensed Product to Sublicensee no later than the date mutually agreed upon by the Parties. The Licensed Product version shall include, but is not limited to, a closed beta test version, an open beta test version, and a commercial launch version.

Developer shall provide Sublicensee with the latest version of the Licensed Product from time to time, including (but not limited to) new content or functions that may become available. Throughout the term of this Agreement, Developer shall be open to Sublicensee’s reasonable opinions and suggestions to enhance the Licensed Product in the Territory. The Parties acknowledge that the Licensed Product is developed from “永恒联盟,” and Developer warrants that the Licensed Product’s content is lawful and does not infringe upon any third party’s rights. Developer shall ensure that neither the Licensed Product nor any of its updates or upgrades:

Developer shall provide ongoing development and maintenance of the Licensed Product within reason.

If Sublicensee detects any content violating relevant law or regulation, Sublicensee shall inform Developer and request modifications.

Developer shall install Server Software only on the servers designated by Sublicensee and only use the servers, domains, and IP addresses provided by Sublicensee.

Developer shall provide an API containing full in-game character information with data arranged in descending order. Sublicensee shall be able to select and filter relevant fields as necessary for the Product.

Developer shall cooperate with Sublicensee in the document transfer process as follows:

Within seven (7) Business Days of the Effective Date, Developer shall transfer the Text Files package (in “.XLS” format) to Sublicensee.

Within fifteen (15) Business Days of receiving Sublicensee’s localized language package and Designing Files, Developer shall deliver the first localized version of the Licensed Product to Sublicensee. Within seven (7) Business Days of receiving the localized version of the Licensed Product from Developer, Sublicensee shall provide a report on any errors or defects found in that localized version.

After receiving Sublicensee’s report, Developer and Sublicensee shall cooperate to correct or fix the reported errors or defects. Developer shall hand over the corrected version of the Licensed Product to Sublicensee within a commercially reasonable time.

Marketing of Licensed Product

Coordination in Marketing and Marketing Plan. Sublicensee shall promptly provide Licensee with any marketing-related information or clarifications upon Licensee’s reasonable request.

Half-yearly Marketing Plan and Strategy

Sublicensee shall provide Licensee with a half-yearly marketing plan and strategy report (“Half-Yearly Report”) at least two (2) weeks prior to the start of each half-year. Licensee shall have five (5) Business Days from receipt of such Half-Yearly Report to request any amendments it deems reasonably necessary.

Each Half-Yearly Report or other marketing plan provided by Sublicensee shall include, at a minimum, the purpose, goal, target dates, activity period, marketing channels, social network marketing details, marketing keywords, and budget estimates.

Notification on Marketing Activities. For the purpose of ensuring the proper use of Licensee’s Intellectual Property Rights, Sublicensee shall provide prior written notice to Licensee for Licensee’s approval of each marketing activity related to the Licensed Title, as described below:

Marketing Documents. Recreated Images. Sublicensee shall provide at least two (2) weeks’ prior notice before using or publicly distributing any recreated or altered images, graphics, or other materials related to the Licensed Product. Original, unmodified game images for the Licensed Product may be used without prior notice; however, any combination or merged imagery that modifies original assets requires prior notice and approval in accordance with this Section.

Moving Images/Videos. Sublicensee shall provide Licensee with at least two (2) weeks’ prior notice of any scenario (synopsis) for a moving image or video that incorporates the Licensed Title, for Licensee’s approval. Sublicensee shall then provide Licensee at least two (2) weeks’ prior notice of the initial draft and the final version of any such moving image or video. Work-in-progress versions are not subject to notice or approval requirements.

Merchandises. Sublicensee shall provide at least two (2) weeks’ prior notice before designing, manufacturing, or distributing any merchandise based on the Licensed Title for promotional purposes. Such notice must include design concepts, a list of merchandise products, potential manufacturers, and their relevant references.

Licensee’s Consent Rights on Marketing Activities. If, upon receiving the notifications described in Section 3.3, Licensee determines in good faith that the proposed marketing activity may harm its Intellectual Property Rights, Licensee shall inform Sublicensee of such determination within three (3) Business Days from receipt of the relevant notice. In that event, Sublicensee shall suspend or discontinue the marketing activity within a reasonable period. For the avoidance of doubt, if Licensee does not raise an objection to a proposed marketing activity within the prescribed time frame, Licensee is deemed to have consented to said activity.

Game Operational Data

Provision of Game KPI. On the first Monday of each month, Sublicensee shall provide Licensee with the Game KPI for the immediately preceding month. Sublicensee shall also promptly provide any additional revenue-related raw data at Licensee’s request. For the avoidance of doubt, Sublicensee is not obligated to meet or achieve any specific KPI.

Provision of Operation Plans. Sublicensee shall regularly—no less than monthly—share with Licensee all plans necessary to operate the Licensed Product in the Territory, including, but not limited to, those pertaining to updates, localization, social network service (SNS) operations, in-game events, and revenue promotion events. If any newly planned operation is not included in a previously submitted monthly plan, Sublicensee shall inform Licensee of such operation at least one (1) week prior to its execution.

Commercial Launch Date. Tentative Commercial Launch Date shall be within fourth quarter of 2025. The specific Commercial Launch Date shall be determined by mutual agreement between Developer and Sublicensee and shall be subject to Licensee’s prior written approval

Customer Support

Provision of Customer Support. Sublicensee shall finalize the End User License Agreement (“EULA”) and Customer Support Policies, ensuring that both (a) comply with the minimum requirements for service level and quality assurance, and (b) adhere to all applicable laws and regulations in the Territory. Sublicensee shall require, if there may be, Sub-Sublicensees to use the same EULA for the Commercial Service and Customer Support. Sublicensee may modify, amend, or update the EULA and/or Customer Support Policies from time to time, provided such changes remain consistent with this Agreement and all applicable laws and regulations.

Notices to Licensee. Sublicensee shall make reasonable efforts to inform Licensee of any known material claim or legal proceeding involving the Licensed Product and/or Commercial Service in the Territory promptly after Sublicensee becomes aware of such claim or proceeding.

Overall Amount. In consideration of the licenses granted to Sublicensee under this Agreement, Sublicensee shall pay a total License Fee of USD 800,000 (Eight Hundred Thousand US Dollars) as follows:

Invoice and Payment Schedule. Each Party (Licensor and Developer) shall issue an invoice to Sublicensee for its respective portion of the License Fee immediately following the Effective Date (or as otherwise agreed in writing). Sublicensee shall remit payment of the invoiced amount within thirty-five (35) Business Days from the date of receipt of the original invoice.

Minimum Guarantee (“MG”)

Overall Amount. Sublicensee shall pay a total Minimum Guarantee of USD 800,000 (Eight Hundred Thousand US Dollars) as follows:

Invoice and Payment Schedule. Each Party (Licensor and Developer) shall issue an invoice to Sublicensee for its respective portion of the Minimum Guarantee immediately following execution of this Agreement (or as otherwise agreed in writing). Sublicensee shall remit payment of the invoiced amount within thirty-five (35) Business Days from the date of receipt of the original invoice.

Offset Against Royalty. The Minimum Guarantee is non-refundable but is recoupable through future Royalty payments. Sublicensee shall only be required to pay monthly Royalties to Licensor and/or Developer once the respective Party’s portion of the Minimum Guarantee has been fully recouped. Any portion of the Minimum Guarantee that remains unrecouped at the time of termination or expiration of this Agreement is not refundable. However, any unpaid Minimum Guarantee still outstanding, along with any remaining unpaid License Fee, becomes immediately due and payable if there are any remaining payment obligations.

Royalty Share (“RS”)

Rates. During the Term of this Agreement, Sublicensee shall pay Royalties on twenty-five percent (25%) of the Gross Revenue generated in the Territory from the Licensed Product, allocated as follows:

Reporting.

Royalty Statement. Within three (3) months following the last day of each settlement month, Sublicensee shall prepare and send a monthly Royalty report ("Royalty Report") to Licensor and Developer. The Royalty Report shall include all relevant details of the Gross Revenue for the applicable month.

Invoice Issuance. Within ten (10) Business Days of receiving the Royalty Report, Licensor and Developer shall each issue an original invoice to Sublicensee based on the confirmed Royalty amount.

Payment Deadline. Sublicensee shall remit the respective Royalty payment to Licensor and Developer within thirty (30) Business Days of receiving each original invoice.

Incentive Fee (“Incentive”)

Total Amount and Threshold Point. A maximum aggregate amount of USD 300,000 (Three Hundred Thousand US Dollars) in Incentive Fees shall be paid by Sublicensee to Licensor and Developer once the cumulative total Gross Revenue in the Territory exceeds USD 10,000,000 (Ten Million US Dollars). Thereafter, for every additional USD 3,000,000 in cumulative Gross Revenue, Sublicensee shall pay USD 100,000 in total Incentive Fees, split equally between Licensor and Developer, until the maximum aggregate Incentive of USD 300,000 is reached. The specific triggers and payments are as follows:

Payment Schedule. Upon reaching each Revenue threshold for the first time, Licensor and Developer shall each issue an invoice to Sublicensee. Sublicensee shall pay the invoiced amount within thirty-five (35) Business Days from the date of receipt of the original invoice.

Withholding Taxes. Each Party is responsible for paying all taxes due on its own income under this Agreement. Licensee and Developer shall bear full responsibility for any withholding tax obligations applicable to them. The License Fee, Minimum Guarantee Fee, Incentive Fee, and Royalty is subject to a -percent (-%) withholding tax. Sublicensee shall withhold the applicable amounts from payments made to Licensee and Developer and remit those amounts to the relevant tax authorities on their behalf. Sublicensee shall furnish Licensee and Developer with original receipts or other official government certifications evidencing all taxes withheld within forty (40) Business Days after such documents become available. The Parties shall cooperate in good faith to provide any required documentation to minimize the amount of withholding taxes imposed.

Payment Currency and Exchange Rate. Except as otherwise provided in this Agreement, all payments shall be made in US Dollars. If payment in US Dollars is not feasible, the Parties may agree in writing on an alternative currency. Where Royalty amounts originate in local currency within the Territory, Sublicensee shall convert such amounts into US Dollars based on the final selling exchange rate published by the national bank of each relevant country in the Territory on the last day of the month in which the revenue accrued.

Wire Transfer. All payments from Sublicensee to Licensee and Developer under this Agreement shall be made by wire transfer in the applicable currency. Each Party shall bear the wire transfer fees charged by its own bank. Below are the designated bank accounts:

Audits.
审计。
Audit Rights. During the Term of this Agreement and for one (1) year following its expiration or termination, Sublicensee shall maintain full and accurate records of all accounts, reports, documents, and materials relating to this Agreement at its principal office. Upon fifteen (15) Business Days’ prior written notice to Sublicensee, Licensee or Developer (including any authorized agent or representative) shall have the right to audit such records during normal business hours.
审计权。在本协议有效期内以及协议终止或到期后一年内,被许可方应在其主要办公地点保存所有与本协议相关的账户、报告、文件和材料的完整、准确记录。在提前十五(15)个工作日以书面形式通知被许可方的情况下,许可方或开发者(包括任何授权的代理人或代表)有权在正常工作时间审计此类记录。
Cooperation and Confidentiality. At the reasonable request of Licensee or Developer, Sublicensee shall designate an employee to assist in examining Sublicensee’s records. Any agent or representative performing the audit shall be bound by confidentiality obligations consistent with those set forth in this Agreement. Licensee and Developer shall ensure that their employees and auditors keep all Sublicensee information acquired during the audit confidential.

Overpayments and Underpayments. If an audit reveals that Sublicensee has underpaid any Royalty by five percent (5%) or more for any monthly accounting period, Sublicensee shall promptly pay the past-due amount to Licensee or Developer, as applicable, and the Parties shall share equally in the reasonable costs of the audit. If the audit reveals that Sublicensee has overpaid any Royalty, the overpaid amount shall be credited against future Royalties, and the Parties shall share equally in the reasonable costs of the audit.
逾期付款和不足付款。如果审计发现被许可方在任何月度会计期间对任何版税的支付不足达到五%(5%)或更多,被许可方应立即向许可方或开发者支付逾期款项,具体适用,双方应平均分担审计的合理费用。如果审计发现被许可方支付了任何版税的过多款项,则过多支付的金额应抵扣未来的版税,双方应平均分担审计的合理费用。

Intellectual Property Rights

Licensee’s Company Logos and Product Brand Images.

The Sublicensee may use the Licensee’s company logos and product brand images in a form mutually agreed upon by the Parties for the opening sequence of the Licensed Product.
受让人可以使用许可方的公司标志和产品品牌图像,以双方同意的形式用于授权产品的开场序列。
The Sublicensee may, solely for the performance of the Service by the Sublicensee under this Agreement, use the Licensee’s company logos and product brand images on all advertising and promotional material for the Local Service, provided that there is no implication or misleading information suggesting that the Sublicensee is an agent or a representative of the Licensee.
受让人仅为本协议项下受让人履行服务目的,可以使用许可人的公司标志和产品品牌图像在所有本地服务的广告和促销材料上,前提是不得暗示或提供受让人是许可人的代理人或代表的误导性信息。
The Sublicensee may, solely for the performance of the Service by the Sublicensee under this Agreement, include the Licensee’s company logos and product brand images in connection with servicing, use, promotion, distribution, and marketing of the Licensed Product, and shall ensure that there is no implication or misleading information suggesting the Sublicensee is an agent or a representative of the Licensee.
受让人可以仅为此协议项下受让人履行服务,包括在服务、使用、推广、分销和营销许可产品时,包含许可方的公司标志和产品品牌图像,并应确保没有暗示或误导性信息表明受让人是许可方的代理人或代表。
Title of the Licensed Product. The designation of the main title for the Licensed Product (the “Title”) shall be mutually agreed upon through consultation between the Licensee and Sublicensee. Notwithstanding anything to the contrary, all intellectual property rights and trademark privileges associated with the Title within the Territory shall be exclusively owned by the Licensee. The Sublicensee acknowledges and agrees that any application for relevant intellectual property rights and trademarks pertaining to the Title shall be initiated and undertaken by the Licensee. Further, the Licensee has a duty to register a trademark of the Title and its business image or logo within the Territory. However, the Sublicensee is permitted to use such registered trademark within the Territory for the duration of this Agreement.
授权产品标题。授权产品的主体标题(以下简称“标题”)应由许可方和转许可方通过协商一致确定。尽管有相反的规定,但在该区域内与标题相关的所有知识产权和商标特权均专属于许可方。转许可方承认并同意,与标题相关的任何相关知识产权和商标的申请均应由许可方发起和执行。此外,许可方有义务在该区域内注册标题及其商业形象或标志的商标。然而,转许可方在本协议有效期内被允许在该区域内使用该已注册商标。
Protection of Intellectual Property Rights of the Licensee. The Sublicensee shall make reasonable efforts to abide by the Licensee’s recommendations to ensure adequate protection of the intellectual property rights of the Licensed Product.
知识产权受让方保护。被许可方应尽合理努力遵守受让方的建议,以确保充分保护受许可产品的知识产权。
Licensee Indemnification. The Licensee agrees to indemnify the Sublicensee for direct losses incurred or suffered by the Sublicensee because of the removal of the Licensed Product or cessation of the Local Service due to any third-party claim, demand, or suit alleging infringement of such third party’s intellectual property rights arising from the Licensed Product. The Licensee shall make its best efforts to remedy or resolve any such third-party claim. The Licensee’s indemnification obligations hereunder shall not apply to the extent any claim, demand, or suit arises out of or results from:

the combination, operation, or use of the Licensed Product with other products, services, or materials not provided or expressly approved by the Licensee; or

the Sublicensee’s failure to implement any updates, modifications, or replacements provided by the Licensee to address or avoid any alleged infringement.

The Sublicensee shall promptly notify the Licensee in good faith of any claim, demand, or suit for which indemnification is sought, so that the Licensee may prepare for defense and/or settlement thereof.

Sublicensee Acknowledgement. The Sublicensee recognizes and acknowledges that the sole owner of all intellectual property and Intellectual Property Rights in the Licensed Product is the Licensee, and that the Sublicensee does not have any rights, title, or interest except those expressly granted under this Agreement. The Sublicensee further acknowledges that the Licensee grants the Sublicensee the right to commercially launch the Licensed Product solely within the Territory, and only in accordance with all other terms and conditions of this Agreement.

Third-Party Licensed Elements of the Licensed Product. In the event any aspects of the Licensed Product — including but not limited to in-game character images, sounds, art designs, or story scripts — are licensed from a third party, the Licensee shall guarantee and ensure that such licensed elements are sub-licensable to the Sublicensee at no additional cost to the Sublicensee.
第三方授权元素。在授权产品中,如果包括但不限于游戏角色图像、声音、艺术设计或故事脚本等任何方面是从第三方授权的,许可方应保证并确保此类授权元素可免费向被许可方转授权。
Warranties

Warranties by Licensee. Licensee hereby represents and warrants that:

To Licensee’s knowledge, as of the date hereof, there is no pending lawsuit, litigation, or claim, nor has Licensee received any written notice or warning, alleging that the Licensee IP infringes any third party’s Intellectual Property Rights.

Licensee shall comply with all applicable laws, regulations, and treaties as of the date hereof.

Any acts or omissions by Licensee hereunder shall not materially breach any agreement between Licensee and any third party in a manner that would adversely affect this Agreement.

Licensee shall be bound by this Agreement.

Any acts or omissions by Sublicensee under this Agreement shall not breach any agreement between Sublicensee and any third party.

All provisions hereof and any transactions, actions, and arrangements contemplated herein are consistent with applicable laws and regulations and are enforceable in the Territory.

Sublicensee shall be bound by this Agreement.

Developer has all requisite power and authority to execute this Agreement and to carry out all actions required hereunder.

Any and all services provided by Developer under this Agreement, including but not limited to localization, maintenance, or support of the Licensed Product, do not infringe upon any third party’s Intellectual Property Rights.

Developer shall comply with all applicable laws, regulations, and treaties as of the date hereof.

Any acts or omissions by Developer hereunder shall not materially breach any agreement between Developer and any third party in a manner that would adversely affect this Agreement.

Developer shall be bound by this Agreement.

Limitation of Liability. Except as otherwise set forth in this Agreement, in no event shall one Party be liable to the other Party for any consequential, indirect, incidental, punitive, or special damages whatsoever, including, without limitation, damages for loss of business profits, whether based on breach of this Agreement, tort, negligence, or otherwise, and whether or not the Party has been advised of the possibility of such damages.
责任限制。除本协议另有规定外,在任何情况下,一方对另一方不承担任何后果性、间接性、偶然性、惩罚性或特殊损害的责任,包括但不限于因违反本协议、侵权、疏忽或其他原因造成的商业利润损失,无论该方是否已被告知可能发生此类损害。
Indemnification.

Indemnification by Licensee. Licensee shall indemnify, defend, and hold Sublicensee and Developer (including their respective directors, officers, and employees) harmless from and against any and all claims, losses, liabilities, costs, and expenses (including legal fees and costs) arising out of or related to:

any claims made by a third party alleging that the Licensee IP infringes such third party’s Intellectual Property Rights; and

Licensee’s breach of any and all warranties or obligations set forth in this Agreement.

Indemnification by Sublicensee. Sublicensee shall indemnify, defend, and hold Licensee and Developer (including their respective subsidiaries, Affiliates, directors, officers, employees, and agents) harmless from and against any and all claims, losses, liabilities, costs, and expenses (including legal fees and costs) arising out of or related to:

Sublicensee’s breach of any and all warranties or obligations set forth in this Agreement;

any infringement of a third party’s Intellectual Property Rights caused by Sublicensee’s distribution or marketing of the Licensed Product; for the avoidance of doubt, if any such infringement occurs due to Sublicensee’s actions during the distribution or marketing of the Licensed Product, Sublicensee shall be responsible for indemnifying both the infringed party and Licensee (if any such liability arises); and

Term and Termination

Term. This Agreement shall become effective on the Effective Date and, unless terminated earlier in accordance with this Agreement, shall remain in effect for two (2) years from the Commercial Launch Date (the “Initial Term,” and together with any Renewal Term, the “Term”). This Agreement may be automatically renewed for [ ] additional year (the “Renewal Term”) if the average of the Gross Revenue for the [ ] highest-grossing months during the [ ] months immediately preceding the final month of the Initial Term exceeds USD- (US -Dollars).

Mutual Termination Rights. The Parties may mutually agree to terminate this Agreement without penalty or liability to one another if they jointly determine that continuing the Commercial Service in the Territory is no longer feasible.

Termination. Without prejudice to any other rights or remedies under this Agreement, or in law or equity, a relevant Party shall have the right to terminate this Agreement immediately upon written notice delivered to the other Party(ies) in the event of any of the following:

A Party commits a material breach of any term, condition, warranty, representation, or covenant under this Agreement, and fails to cure such breach (if curable) within thirty (30) calendar days of receiving written notice thereof.

A Party makes or attempts an unauthorized assignment for the benefit of creditors; files any petition for reorganization, readjustment, or rearrangement of its business or affairs under laws or regulations relating to debtor relief, bankruptcy, or insolvency; has or suffers a receiver or trustee to be appointed for its business or property; discontinues its business; or is adjudicated bankrupt or insolvent.
一方未经授权为债权人利益进行转让或尝试转让;根据与债务人救济、破产或无力偿债相关的法律或法规,提交任何关于其业务或事务重组、调整或重新安排的申请;拥有或遭受对其业务或财产指定接收人或受托人;停止其业务;或被判定为破产或无力偿债。
Sublicensee shall have the right to terminate this Agreement if Developer fails to provide the Update(s) required under this Agreement.

If Sublicensee cannot meet the Commercial Launch Date deadline as set forth herein, all Parties shall negotiate to amend the deadline. If Sublicensee still cannot meet the newly agreed Commercial Launch Date, Licensee and Developer may terminate this Agreement.

Licensee or Developer shall have the right to terminate this Agreement upon thirty (30) days’ prior written notice to Sublicensee if the average monthly Gross Revenue for any consecutive three (3) months after six (6) months from the Commercial Launch Date is less than USD- (US- Dollars)

Any Party shall have the right to terminate this Agreement immediately upon written notice in the event of a Change of Control of another Party.

Breach of the Agreement. The Parties represent and warrant that they shall carry out all terms and conditions of this Agreement in good faith and in a serious, strict, and complete manner. Except as provided herein, no Party may unilaterally alter or terminate this Agreement without the other Parties’ consent. If the process of localizing and commercializing the Product (including but not limited to document transfers, Product handover, Product software installation, cooperation to set the Commercial Launch Date, etc.) is interrupted, restricted, delayed, or interfered with due to Developer’s or Licensee’s fault, Sublicensee shall notify Licensee/Developer accordingly and request them to fulfill their obligations. All Parties shall make their best good-faith effort to continue performing this Agreement. If Licensee or Developer fails to cure its violation within fifteen (15) days from the date Sublicensee (or its designee) serves notice requesting Licensee/Developer to fulfill its obligations, Sublicensee shall be entitled to unilaterally terminate this Agreement by delivering a termination notice (in tangible form or via email) to Licensee/Developer, and may exercise the following remedies:

Then, upon a commercially reasonable determination, Sublicensee is entitled to:

Effect of Termination.

Upon the expiration or termination of this Agreement, the Parties shall have no further rights or obligations hereunder, except that any rights and obligations that accrued prior to termination shall remain unaffected. The Parties shall negotiate in good faith to determine a shutdown period of at least three (3) calendar months—before the Server Software is taken offline—during which user virtual properties are to be appropriately handled, or for such longer time as may be required by applicable regulations.

In the event of expiration, non-renewal, or early termination resulting from any cause in Section 5.3 of Article III, Sublicensee shall (i) cease using any Licensee IP and related materials, (ii) cease manufacturing, distributing, selling, or advertising for sale the Licensed Product, (iii) cease providing the Commercial Service, and (iv) promptly, but no later than three (3) months following such expiration, non-renewal, or early termination, deliver all Game Data to Licensee free of charge and without restrictions.

All trademarks, trade names, logos, samples, literature, materials, sales aids, and other items provided to Sublicensee or Developer by Licensee remain the property of Licensee. Within forty (40) calendar days of the expiration or termination of this Agreement, Sublicensee and Developer shall, at Licensee’s direction, destroy or return all such items and related materials. Without Licensee’s prior written consent, Sublicensee shall not use the Licensed Title, Licensed Product, or any related materials after the termination or cancellation of this Agreement. Similarly, Developer shall not use the Licensed Product or any related materials after the termination or cancellation of this Agreement.

Survival. Any provisions intended by their nature to survive the termination or expiration of this Agreement shall so survive, including but not limited to provisions regarding confidentiality, indemnification, and liability.

Non-Disclosure or Use

Confidential Information. It is anticipated that one Party may learn Confidential Information of the other Party. A Party that receives Confidential Information (the “Receiving Party”) shall keep such Confidential Information in confidence unless and until the Party disclosing Confidential Information (the “Disclosing Party”) consents to its disclosure, or unless such Confidential Information otherwise becomes generally available to the public through no fault of the Receiving Party.

Confidential Obligation. The Receiving Party shall not disclose Confidential Information to any third party without the Disclosing Party’s prior written consent. In addition to maintaining strict confidence over such Confidential Information, the Receiving Party shall take all reasonable precautions to prevent unauthorized dissemination and shall refrain from sharing any or all of the Confidential Information with any third party for any reason whatsoever—except where required by a court order—both during and after the termination of this Agreement. Without limiting the scope of these obligations, the Receiving Party shall limit its internal distribution of the Confidential Information to those individuals who have a need to know and who are informed of, and agree to be bound by, the confidentiality obligations in this Agreement, solely in connection with performing this Agreement. The Receiving Party shall require each of its directors, officers, and employees performing services relating to the development of the Licensed Title, Licensed Product, and/or the Commercial Service to sign a confidentiality agreement as strict as Section 6 of Article III if such an agreement has not already been executed. The obligation to keep Confidential Information confidential shall survive the termination, cancellation, and expiration of this Agreement.

No Use. The Receiving Party shall not use Confidential Information for its own benefit or for the benefit of any third party, nor for any purpose other than in accordance with this Agreement.

Exception. It is understood that the obligations of confidentiality above shall not apply to any portion of Confidential Information that:

was known to the Receiving Party prior to disclosure, without any obligations of confidentiality;

is approved for release by prior written authorization of the Disclosing Party.

Return of Confidential Information. Promptly upon the termination or expiration of this Agreement for any reason, or at the request of the Disclosing Party, the Receiving Party shall return to the Disclosing Party all originals and copies of any materials in any form containing or representing Confidential Information. This includes, but is not limited to, all computer source codes, discs, drawings, specifications, manuals, and other printed or reproduced materials (including machine-readable media), or shall destroy them at the Disclosing Party’s request. Within six (6) months following the expiration or termination of this Agreement, the Disclosing Party may, by itself or with its lawyers, accountants, or other advisers, conduct inspections at the Receiving Party’s offices or premises to verify compliance with Section 6 of Article III; the Receiving Party shall duly cooperate.

Injunctive Relief. Because the unauthorized transfer of the Disclosing Party’s Confidential Information will substantially diminish its value and injure the Disclosing Party in ways that cannot be fully remedied by monetary damages alone, any breach of these confidentiality obligations by the Receiving Party shall entitle the Disclosing Party to equitable relief (including specific performance or injunctions), in addition to any monetary damages.

Miscellaneous

Relationship between the Parties. The relationship between the Parties under this Agreement is that of independent contractors. No Party shall represent that it has any power, right, or authority to bind the other Party or assume any obligation or responsibility on the other Party’s behalf, except as expressly provided herein. Nothing in this Agreement shall be construed as creating a partnership, employer-employee, franchisor-franchisee, or principal-agent relationship between the Parties unless otherwise stipulated.
各方关系。本协议下各方之间的关系为独立承包商。除本协议明确规定的以外,任何一方均不得代表其有权约束另一方或代表另一方承担任何义务或责任。本协议的任何内容均不得解释为在各方之间创建合伙关系、雇主-雇员关系、特许经营商-特许经营商关系或委托人-代理人关系,除非另有规定。
No Assignment. No Party may assign or transfer its rights under this Agreement to any third party without the other Parties’ prior written consent. Any attempted assignment or delegation without the required consent shall be void and deemed a material breach of this Agreement.
未经授权。任何一方不得未经对方事先书面同意,将本协议项下的权利转让给任何第三方。未经必要同意而进行的任何尝试转让或委托均属无效,并被视为对本协议的重大违约。
Waiver and Modification. No waiver or modification of this Agreement shall be effective unless in writing and signed by the Parties. A waiver by one Party of another Party’s breach of any term or condition shall not be construed as a waiver of any subsequent breach of that or any other term or condition of this Agreement.
放弃和修改。除非以书面形式并由各方签署,否则对本协议的任何放弃或修改均无效。一方对另一方违反任何条款或条件的放弃不应被视为对随后违反该条款或本协议中任何其他条款或条件的放弃。
Notices. All notices and demands under this Agreement shall be in writing and served by personal delivery, express courier, or prepaid mail at the address of the receiving Party set forth in this Agreement (or such different address as designated in writing). Notices or demands by mail shall be by certified or registered airmail, return receipt requested. They shall be deemed complete upon receipt or, if receipt is refused or an address has been changed without proper notification, upon the fifteenth (15th) day following the first postmark by the postal service of the sender’s country. A Party shall notify the other Party in writing of any address change within seven (7) calendar days.

Governing Law and Dispute Resolution. This Agreement shall be governed by and construed in accordance with the laws of Singapore. Any dispute, controversy, or difference arising out of or in connection with this Agreement shall be resolved exclusively by binding arbitration at the Singapore International Arbitration Center (“SIAC”) in accordance with its rules in force at the time. The arbitration proceedings shall be conducted in Singapore, in English. Each Party shall bear its own costs and attorney’s fees in the arbitration. Nothing in this section shall prevent any Party from seeking injunctive relief or restraining orders in a court of competent jurisdiction wherever necessary. The Parties have discussed this provision with counsel and agree that it shall be enforced in accordance with its terms.
管辖法与争议解决。本协议受新加坡法律管辖并据此解释。因本协议产生的或与本协议有关的任何争议、纠纷或差异,应通过新加坡国际仲裁中心(“SIAC”)根据其当时生效的规则进行有约束力的仲裁解决。仲裁程序应在新加坡以英语进行。各方应各自承担仲裁中的费用和律师费。本节中的任何内容均不影响任何一方在任何必要的情况下向有管辖权的法院寻求禁令救济或限制令。各方已与顾问讨论了本条款,并同意应按其条款执行。
Severability. If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. If the unenforceable provision prevents the accomplishment of this Agreement’s essential purpose, then the entire Agreement shall be deemed void.
可分割性。如果本协议的任何条款被有管辖权的法院或其他法庭认定为不可执行,则该条款应尽可能执行,其余条款应保持完全有效。如果不可执行的条款阻止了本协议主要目的的实现,则整个协议应被视为无效。
Force Majeure. No Party shall be liable for any failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, government orders, war, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials.
不可抗力。任何一方因不可抗力事件而未能履行本协议项下的义务,均不承担责任,包括但不限于自然灾害、政府命令、战争、暴乱、禁运、民事或军事当局的行为、火灾、洪水、事故、罢工或运输、燃料、能源、劳动力或材料的短缺。
Time is of the Essence. The Parties acknowledge that time is of the essence concerning each Party’s performance and discharge of its duties and obligations under this Agreement.

Entire Agreement. This Agreement constitutes the complete and entire agreement between the Parties regarding its subject matter and supersedes all prior oral or written agreements. No term hereof shall be binding until this Agreement is executed by each Party, and an executed copy has been delivered to each Party.

Expenses. Each Party shall bear all expenses related to the negotiation, execution, and performance of its own obligations under this Agreement.

Counterparts. This Agreement may be executed in three (3) counterparts, with one copy for Licensee, one copy for Developer, and one copy for Sublicensee. Each counterpart shall be deemed an original, but all counterparts together constitute one and the same instrument.
