BYD Finland $\mathbf{O}\mathbf{y}$$\mathbf{O}\mathbf{y}$Oy\mathbf{O y}, a corporation duly organized and existing under the laws of Finland, having its principal office at Bertel Jungin aukio 5, 02600, Espoo Finland (hereinafter referred to as “BYD”); and

BYD Smart Device Hungary Kft., a corporation duly organized and existing under the laws of Hungary, having its principal office at Prologis Park Budapest M1, H-2071 Páty, Szent József út 4, Hungary (hereinafter referred to as “BYD”); and

EFT-Systems GmbH, a corporation duly organized and existing under the laws of Germany, has its principal office at Bruchtannenstraße 28, 63801 Kleinostheim (Germany) (hereinafter referred to as “Service Provider”).
EFT-Systems GmbH 是一家根据德国法律正式组建并存续的公司，其总部位于 Bruchtannenstraße 28， 63801 Kleinostheim （Germany）（以下简称“服务提供商”）。

WHEREAS BYD has its sales networks and customer groups of BYD Products in Europe and appoints the Service Provider to perform its obligations herein in this Agreement.
鉴于比亚迪在欧洲拥有比亚迪产品的销售网络和客户群，并指定服务提供商履行其在本协议中的义务。

WHEREAS Service Provider has promised its facilities and personnel sufficient to satisfy the needs and expectations of BYD for sales service, and the Service Provider agrees to provide service for BYD Products with highly professional manners and in compliance with all applicable laws, regulations, government policies, and Service Policies.
鉴于服务提供商已承诺其设施和人员足以满足比亚迪对销售服务的需求和期望，并且服务提供商同意以高度专业的方式为比亚迪产品提供服务，并遵守所有适用的法律、法规、政府政策和服务政策。

BYD and Service Provider are collectively referred to as the “Both Parties” and each individually as a “Party.”

BYD Products means the Battery-Box (Plus2.5, Pro12.8/13.8, HV, LV3.5), Battery-Box Premium (LVL, LVS, HVS, HVM, HVE, HVB), Commercial (C130 and C230), Battery-Max, BYD branded inverters, sold or provided by BYD. The scope of BYD Products will be updated and changed by BYD via prior notice to the Service Provider.
比亚迪产品是指由比亚迪销售或提供的电池盒（Plus2.5、Pro12.8/13.8、HV、LV3.5）、电池盒高级版（LVL、LVS、HVS、HVM、HVE、HVB）、商用电池（C130 和 C230）、Battery-Max、比亚迪品牌逆变器。比亚迪产品的范围将由 BYD 在事先通知服务提供商的情况下进行更新和更改。

Service Policies mean policies, practices, and procedures for the processing, technical support, advertisement, promotion, after-sales, and other service for sales services. The Service Policies may be amended, superseded, or substituted from time to time by BYD.
服务政策是指销售服务的处理、技术支持、广告、促销、售后和其他服务的政策、实践和程序。服务政策可由 BYD 不时修订、取代或取代。

Spare Parts means any Spare Parts of BYD Product(s) provided by BYD to the Service Provider.

Service Provider shall perform its obligations herein in this Agreement within the Geographical Area of Service.

The scope of Customers includes any persons or entities that have purchased or intend to purchase BYD Products or Spare Parts but not limited to Distributors, installers, and end-users.
客户范围包括已经购买或打算购买比亚迪产品或备件的任何个人或实体，但不限于分销商、安装商和最终用户。

Service Provider shall provide its service under this Agreement in the geographical area of European Customs Territory, Switzerland, and the United Kingdom.
服务提供商应根据本协议在欧洲关税区、瑞士和英国的地理区域内提供服务。

BYD shall make payment of the Sales Service Fee (its calculation details and updates in the Annex I) If the Service Provider completes its obligations of this Agreement and obtains BYD’s confirmation after evaluation and estimation of the article.
如果服务提供方完成本协议规定的义务，并在对物品进行评估、估价后获得比亚迪的确认，则比亚迪应支付销售服务费（其计算详情及更新内容见附件一）。

Service Provider shall, at its own cost (including but not limited to the cost of human resources, traveling, and other related expenses from technical support), provide and organize all necessary facilities to fulfill the technical support for Customers. The scope of the technical support herein includes but is not limited to hotline service, on-site training, webinars, events, and other services requested by BYD.
服务提供商应自费（包括但不限于人力资源、差旅和技术支持的其他相关费用）提供和组织所有必要的设施，以履行为客户提供的技术支持。本协议提供的技术支持范围包括但不限于热线服务、现场培训、网络研讨会、活动以及比亚迪要求的其他服务。

Service Provider shall perform after-sales service in compliance with Annex II of this Agreement.
服务提供方应按照本协议附件二的规定提供售后服务。

The service provider shall provide logistics for BYD products and spare parts as BYD’s request after receiving BYD products and spare parts from BYD in the geographical area of service.
服务提供商在服务地理区域内收到比亚迪的 BYD 产品和备件后，应根据 BYD 的要求提供 BYD 产品和备件的物流。

The Service Provider shall set up a local service website according to BYD’s requirements and keep updated on the relevant documentation and information provided by BYD. The service website is permitted to be used for services in all countries and regions of the wor 1d, and the Service Provider is required to provide uniform maintenance of the service website and to resolve technical faults in a timely manner.
服务提供者应根据比亚迪的要求建立本地服务网站，并及时了解比亚迪提供的相关文件和信息。服务网站允许在 wor 1d 的所有国家和地区提供服务，并且要求服务提供方对服务网站进行统一维护并及时解决技术故障。

The service provider shall support the marketing activities of BYD Products according to the business plan provided by BYD, including but not limited to collateral, local PR, membership, and trade fairs.
服务提供商应根据比亚迪提供的商业计划支持比亚迪产品的营销活动，包括但不限于抵押、当地公关、会员和交易会。

Service Provider shall obtain and maintain all certifications, licenses, and permits concerning performing its obligations in this Agreement and related documents according to any applicable laws, regulations, and government decisions.
三星SDS应根据任何适用的法律、法规和政府决策，获取并维护与履行本协议及相关文件中的义务有关的所有证明、许可和许可。

3.7.1 BYD reviews and evaluates the Service Provider’s performance and obligation of this Agreement based on criteria of Service Policies provided and updated by BYD from time to time.

The service provider promises to cooperate with BYD to evaluate service
服务提供商承诺与比亚迪合作评估服务
performance, including but not limited to providing BYD data and sales service records. The Service Provider shall take remedial measures to correct and improve its faults and mistakes, including but not limited to written notice to BYD with detailed plans and timetables.
履行，包括但不限于提供比亚迪数据和销售服务记录。服务提供方应采取补救措施纠正和改进其过失和失误，包括但不限于向比亚迪发出书面通知，并附上详细的计划和时间表。
3.7.2 The service provider shall confirm that its staff making the introduction for BYD Product(s) needs to have a qualification from BYD (hereinafter referred to as “official lecturers”). All its staff (mainly official lecturers) shall participate in the training and regular assessment by BYD.
3.7.2 服务提供者应确认其介绍比亚迪产品的工作人员需要具有比亚迪的资格证书（以下简称“官方讲师”）。所有员工（主要是官方讲师）都应参加比亚迪的培训和定期考核。

The service provider shall provide prompt written notice via Article 5 to BYD if they are aware of complaints from BYD product customers or related services against applicable laws, regulations, and government decisions. Service Provider agrees to take measures to protect BYD’s (including but not limited to, as the manufacturer of BYD Products) reputation and interests according to applicable laws, regulations, and government decisions. If the Service Provider fails to provide any obligations herein this Agreement, the Service Provider shall be liable to BYD for any remedial measures, including but not limited to compensation for loss of BYD and replacements and repair for BYD Products or Spare Parts at own costs.
如果服务提供商发现比亚迪产品客户或相关服务违反适用的法律、法规和政府决定的投诉，应及时按照第 5 条的规定向比亚迪提供书面通知。服务提供方同意根据适用的法律、法规和政府决策采取措施保护比亚迪（包括但不限于作为比亚迪产品的制造商）的声誉和利益。如果三星SDS未能在本协议中履行任何义务，三星SDS应向比亚迪承担任何补救措施的责任，包括但不限于赔偿比亚迪的损失以及自费更换和修理比亚迪产品或备件。

Service Provider also promises to provide notifications or any other disclosures in compliance with applicable laws, regulations, and government decisions, including but not limited to repair, replacement, or consumer protection.
服务提供商还承诺根据适用的法律、法规和政府决策提供通知或任何其他披露，包括但不限于维修、更换或消费者保护。

4.1 If the Service Provider fails to perform any of its obligations under this Agreement or otherwise is in material breach of this Agreement, then BYD is entitled to:
4.1 如果三星SDI服务提供方未能履行其在本协议项下的任何义务或存在严重违反本协议的行为，则比亚迪有权：
(1) give written notice to the Service Provider describing the scope of the breach and demand that the breaching Party cure the breach at its cost within 30 days (“Cure Period”) (provided that if any representation and warranty of the Service Provider is not true and correct in all material respects when made, or if any event listed in article 4.2.2 occurs, then there shall be no Cure Period); and
（1） 向服务提供商发出书面通知，说明违约范围，并要求违约方在 30 天内纠正违约行为，费用由其承担（“纠正期”）（前提是，如果服务提供商的任何陈述和保证在所有重大方面均不真实和正确，或者如果发生第 4.2.2 条中列出的任何事件， 则没有治愈期）;和
(2)if the Service Provider fails to cure the breach within the Cure Period (or any time further confirmed by both parties), BYD may terminate this Agreement without any conditions.
（2）如果服务提供方未能在补救期限内（或双方进一步确认的任何时间）纠正违约行为，比亚迪可以无条件终止本协议。
(3) terminate this Agreement without any reasons or causes by giving 5 days prior notice in compliance with Article 5.

(4)any other agreement reached by BYD and the Service Provider under this Agreement, which includes but is not limited to this Agreement, may be terminated, which is determined by BYD at its discretion.

4.2 At any time before the expiration date of this Agreement, in addition to other remedies available to it under applicable laws, regulations, government decisions, and other provisions of this Agreement, BYD may terminate this Agreement immediately through written notice to Service Provider if:
4.2 在本协议到期前的任何时间，除适用法律、法规、政府决策和本协议其他条款项下的其他补救措施外，在以下情况下，比亚迪可以通过书面通知服务提供商立即终止本协议：
(1)The Service Provider fails to obtain or maintain any license, permit, or authorization necessary for the conduct by the Service Provider of its business under this Agreement, or such license, permit, or authorization is suspended or revoked; or
