CLIENT AGREEMENT

This Client Agreement (hereinafter referred to as the "Agreement") is made and entered into on this 21^st June 2024 by and between:

WHEREAS, the Company agrees to provide services to the Client under the terms and conditions set forth herein.
鉴于，公司同意根据此处规定的条款和条件向客户提供服务。

NOW, THEREFORE, in consideration of the mutual promises and covenants herein contained, the parties hereto agree as follows:
因此，考虑到本文所包含的相互承诺和契约，双方同意如下：

1. Services
1. 服务

The Company agrees to provide the following services to the Client:

- 5 Advertising Channels ( weekly 3 posting + 1 basic video posting + 4 ads meta camp )
- 5个广告渠道（每周3个发布+1个基本视频发布+4个广告元营）
- Facebook - Branding Ads + Direct Ads
- IG - Branding Ads + Direct Ads
- X ( twitter ) Branding Ads
- Telegram - Branding Ads
- Google landing page ( weekly 1 landing page for ads use )
- Google 着陆页（每周 1 个用于广告使用的着陆页）

*Included Ads Account and set up for the channels
*包括广告帐户和渠道设置
*Ads Fee and Ads payment card are not included.
*不包括广告费和广告支付卡。

2. Term

This Agreement shall commence on 1^st July 2024 and shall continue in effect until 31^st July 2024 unless terminated earlier in accordance with the provisions of this Agreement.
本协议应于2024年7月1日 ^st 开始，并持续有效至2024年7月31日 ^st ，除非根据本协议的规定提前终止。

3. Fees and Payment Terms
3. 费用和付款条件

3.1 The Client agrees to pay the Company the total amount of USD4,000 for the services described above.
3.1 客户同意就上述服务向公司支付总额 4,000 美元。

3.2 Payment shall be made in the following manner: Full Payment Upfront
3.2 付款方式如下： 预付全款

3.3 All invoices are payable within 7 days of receipt by the Client. Late payments may be subject to a late fee of 0.5% per month on the outstanding balance.
3.3 所有发票均应在客户收到后 7 天内支付。逾期付款可能需按未清余额每月收取 0.5% 的滞纳金。

4. Confidentiality

4.1 Both parties agree to treat all information exchanged in the course of this Agreement as confidential and will not disclose such information to any third party without the prior written consent of the other party.
4.1 双方同意对本协议过程中交换的所有信息予以保密，未经对方事先书面同意，不会向任何第三方透露该等信息。

4.2 This obligation of confidentiality shall survive the termination of this Agreement.
4.2 此保密义务在本协议终止后仍然有效。

5. Termination

5.1 Either party may terminate this Agreement by providing 14 days written notice to the other party.
5.1 任何一方均可提前 14 天书面通知另一方终止本协议。

5.2 The Company may terminate this Agreement immediately if the Client fails to make any payment due under this Agreement within 7 days of the due date.
5.2 如果客户未能在到期日后7天内支付本协议项下的任何应付款项，公司可以立即终止本协议。

5.3 Upon termination, the Client shall pay the Company for all services provided up to the date of termination.
5.3 终止后，客户应向公司支付截至终止之日为止所提供的所有服务的费用。

6. Liability

6.1 The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with this Agreement.
6.1 公司不对因本协议引起的或与本协议有关的任何间接、附带或后果性损害承担责任。

6.2 The Company’s total liability under this Agreement shall not exceed the total fees paid by the Client to the Company.
6.2 公司在本协议项下的责任总额不得超过客户向公司支付的费用总额。

7. Governing Law
7. 适用法律

This Agreement shall be governed by and construed in accordance with the laws of Malaysia.
本协议受马来西亚法律管辖并根据马来西亚法律解释。

8. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation or arbitration in accordance with the rules of the Malaysian Arbitration Act 2005.
因本协议引起的或与本协议有关的任何争议，双方应通过协商解决。如果争议无法通过谈判解决，则应根据2005年马来西亚仲裁法的规则提交调解或仲裁。

9. Amendments

This Agreement may only be amended or modified by a written agreement signed by both parties.
本协议只能通过双方签署的书面协议进行修订或修改。

10. Entire Agreement
10. 完整协议

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, agreements, representations, or warranties, whether written or oral.
本协议构成双方之间的完整协议，并取代所有先前的书面或口头谅解、协议、陈述或保证。

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day and year first above written.
